Can you briefly explain how the legal team is structured, highlighting key individuals and their role within the department?

Citi’s Central America (CA) legal team is structured with general counsels and support staff at a country level that report into the CA regional team located in Miami. Citi has general counsels in most CA countries. These local counsel are key members of the Citi Latin America legal department – together we are CA lawyers.

CA lawyers for many years have delivered the highest quality advice and guidance to our business partners, including beyond purely legal issues. CA lawyers advise in all legal aspects that may affect the local Citi operations that can range from regulatory matters, to labour matters, transactional work, litigation, corporate governance, or reputational risk, among others. CA lawyers actively participate in structuring deals and revenue generation. In addition, CA lawyers have a leading role in the most senior forums in the region as the function is fully embedded into the bank’s operations.

CA lawyers have an average of more than ten years at Citi, are well-known industry leaders within their jurisdictions and well respected within Citi. Our regional lawyers are bi-cultural and trained in local and US laws, and are experienced in working through the complexities of a global bank, including properly managing local and US regulations. CA lawyers are at the forefront of the relationship with regulators to discuss trends or issues of concern that could affect Citi or Citi’s clients.

What are the most significant cases and/or transactions that your legal team has been involved with in the last two years?

We worked with top clients in infrastructure deals such as the Tocumen Airport and financing energy companies in Panama, and cable providers in Costa Rica, among others. In addition, we assisted governments in some of their most critical financing needs such as the sovereign bond in Guatemala, El Salvador and Costa Rica.

What will be the main focus for the company in the next 12 months and how does the team intend to assist with this?

The strategy for Central America – which is consistent with our overall strategy – is to be the best for our clients. Citi has been present in Central America for decades and has been a valuable contributor to the development and financing of significantly important projects. We have been actively working with clients from the private sector, multinationals, and governments, assisting them with the best in-class financing solutions and introducing them to Citi’s global platforms so that we can support them with their needs. While countries in Central America have been presenting several challenges from the economic and political perspective, Citi is well positioned to assist in developing opportunities for our clients. From the legal perspective, we have a very talented and experienced team where most of our lawyers have been with the bank for more than ten years. This puts us in an unparalleled position where we can combine our understanding of the local legal regimes together with sophisticated financial solutions that top banks of Citi’s calibre can offer. Our team regularly assist our clients and their in-house lawyers in understanding structures and documentation that financial markets use. We also enjoy very good relationships with banking regulators in most countries and we participate in industry meetings and forums to share on our experiences and where applicable support on regulatory or other market initiatives.

Can you sum up the team culture/ethos? Giving some information afterwards about how this is developed.

The legal department base its core values in the following guiding principles:

Diversity: Diversity is a fundamental principle for the legal department since the inception of the regional office in Miami in 2001. We are strong believers that a diverse team facilitates integration and an inclusive approach consistent with Citi’s values. In CA’s legal department, 80% of the general counsels are females.

Talent: It is at the core of CA legal’s value to have the best team and one of our main priorities is to focus on the personal and professional development of our lawyers. The legal department is constantly conducting trainings to lawyers and bankers on topics such as cross border transactions, blockchain, Bitcoin, and some of its challenges. We have created tailor-made programmes to develop our lawyers, such as specialised training for high performers, a mentoring programme, and mobility opportunities. These initiatives have not only resulted in a better integration between our local and regional teams but also resulted in a significant motivator for our talent. In addition, the CA general counsel is a member and active participant of the global legal talent development committee that is in charge to develop the talent strategy around the globe.

Consistency and continuity: Because most of our lawyers have ten or more years in the bank and their vast experience in the region help improve and strengthen relationships with Citi’s critical stakeholders. CA’s general counsels and senior regional lawyers have been recognised as the best industry lawyers by reputable publications.

Culture leaders: CA has seasoned general counsels and senior lawyers that have been trained and developed within Citi’s highest ethical standards and values. We act as a trusted partner to our clients while protecting the interests of the firm. We challenge our internal partners and work collaboratively with them to ensure that Citi is protected from legal, financial, and reputation risks. In CA legal, we have a high participation in social responsibility and inclusion. Our lawyers are committed to ‘be the best’ by contributing to the communities in which we live and work. We embrace pro bono work and have developed a pro bono programme in the regional offices in Miami and in the countries throughout CA, where over 75% of our attorneys participate.

Team players and networking: As part of our commitment to ‘be the best’ for our clients, we are establishing an in-house counsel network with the lawyers of our top clients in each country. Recently, we provided a training on innovating legal aspects to our top clients in Panama, where CA lawyers and a top US law firm participated. Organising these meetings provides Citi with an opportunity to show our clients the high quality of our lawyers and to promote Citi’s brand. This also allows our team to understand the needs of our clients and promote a collaborative environment for quicker and more balanced resolutions in future negotiations, enhancing the client experience.
