How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
In times of instability and multiple, overlapping crises, anticipation, team work beyond the legal department including a robust internal and external network, clear ambition and goals, AI use and catalyst leadership pay off. We are reviewing the legal department’s vision, mission, strategy, operations and related goals in the light of the evolving company’s strategy on a regular basis. Key is a frequent exchange and alignment with the board of directors, senior management and the business units and a strong understanding of clients’ and business partners’ needs.
What are the main cases or transactions that you have been involved in recently?
Besides some high profile cases going on at the level of the federal court, and ambitious M&A transactions and integration initiatives, it is fascinating to work on AI initiatives for business partner- and inhouse- needs as well as on robotics and autonomous mobility projects. In addition, international trade sanctions, export controls and US tariffs remain a priority.
With new ESG disclosure rules and EU supply chain due diligence standards affecting Switzerland, how is your legal team integrating sustainability into governance and daily operations, and what role does the general counsel play in shaping corporate strategy?
We have set up a governance system for ESG matters following an integrated approach. The legal team and the general counsel are working closely together with both, ESG specialists such as climate experts, environmental engineers, as well as business unit, HR and finance representatives. Non-financial and financial reporting are integrated and allow one common annual report in line with sustainability disclosure obligations and business partners’ expectations. Sustainability and commercial matters are dealt with by the company including the executive committee, various board committees and the board, in a holistic manner.
