How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
I try to base my legal approach on clear and objective communication, in line with the corporate strategy. In times of pressure, the legal takes on a role to ensure that decisions are legally sustainable, mitigating liabilities and protecting value. This requires focus on agile analysis of scenarios and active support to decision-making in the business areas of the CIA, with a high alignment of the entire legal team.
What are the major cases or transactions you have been involved in recently?
In addition to legally structuring the divestments, we deal with complex real estate challenges and contractual analyses. I also conducted capital market operations, such as debt and equity issues (follow-on), corporate reorganisation, share repurchases, and stock option plans.
In your opinion, what are the main trends that are salient in your country currently (these can be legal, political, economy or business-based)?
I see as a relevant trend the strengthening of corporate governance, driven by greater scrutiny of investors, regulatory advances and the growing maturity of boards. Issues such as ESG, data protection, and transparency in transactions with related parties have gained prominence. The challenge is to integrate these topics consistently with the business model, and legal has an essential role in this movement.
