What are the most significant cases, projects or transactions that you and/or your legal team have recently been involved in?

In 2025, we closed the entry of AP Moller Capital into the share capital of our subsidiary, Bergé Logistics, by acquiring 51% of the share capital. This marked a decisive milestone in the company’s history, as we ceded the majority in our original, oldest business, which has been in operation for more than 150 years (since 1870). The transaction was a challenging transnational deal (Denish company investing in a Spanish business), with a top-notch partner, AP Moller Capital, which will enable Bergé Logistics to undertake a process of growth and development to strengthen its leadership position in the logistics and port operations sector in the Iberian Peninsula.

Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?

I joined the company in 2006 and during these 20 years we have been through a process of restructuring and transformation, entailing a lot of unique experiences from a legal perspective: a refinancing of the whole group debt, a contract with more than twenty financial entities amounting to roughly EUR 1 Billion which was successively renegotiated several times from 2010 to 2023; the sale and purchase of our tugboats operations subsidiary to DP World in 2017; the entry of Mitsubishi Corporation (2020) and Algeciras Group (2024) in the share capital of our subsidiary Astara; and our own transformation, from an industrial group to an investment holding, with all the implications of this process in terms of corporate governance, are some examples of these experiences.
