What are the most significant cases, projects and/or transactions that you and/or your legal team have recently been involved in?

Over the past year, without a doubt, the most significant project in which my entire team has been involved is the acquisition of Iberdrola México’s assets. 

As the company informed the CNMV (Spanish National Securities Market Commission) on July 31, Cox signed a stock purchase agreement with Iberdrola for the entire share capital of its subsidiary, Iberdrola México S.A. de C.V., a sub-holding company that directly or indirectly owns the Iberdrola Group’s energy businesses and assets in Mexico. The agreed-upon enterprise value of Iberdrola México is approximately US$4.2 billion. The transaction also required the necessary authorisations from the National Energy Commission and the National Antitrust Commission in Mexico, as well as approval from Cox’s General Shareholders’ Meeting, which received 100% approval. 

Furthermore, on January 26, the market was informed that the Company had received commitment letters for syndicated bank financing totaling US$2.65 bn. from seven financial institutions: Citi, Barclays, BBVA, Deutsche Bank, Goldman Sachs, Santander, and Scotiabank. 

The team continues working on closing this transformational transaction for the company, which has been quite challenging due to its scale and the number of parties involved simultaneously. 

Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting? 

 Throughout my professional career, I have been fortunate to develop a series of projects that can be considered unique, or at least interesting. 

 In 2006, I was appointed Secretary of the Board of Directors of Real Madrid Football Club and a member of said Board. There, for three years, I was responsible for managing the legal affairs of what is considered the best club in the world. 

 In 2014, I was appointed to the founding Board of Directors of Formula E, a world championship for electric cars sanctioned by the FIA. As the founding Board, our task was to lay the foundations for a championship that, today, continues to be developed worldwide and has a billionaire value. 

 Finally, as Secretary General of the Cox Group since 2024, and previously as an external advisor, I have been able to lead, from a legal perspective, the growth of this company, created from scratch in 2014, which, in just the last two years, has been able to win the bid for the productive units in the most important bankruptcy tender in the history of Spain, from the company Abengoa, surpassing numerous competitors in its offer and, in just one year, consolidate all the assets, financially restructure the company and make the leap to the market, becoming a listed company with a current market value of more than €800m.
