A substantial portion of Carlos Albarracin’s practice is focused on key strategic sectors of the Mexican economy, including oil and gas, power and infrastructure. Admitted to practice in both New York and Argentina, Albarracin’s broad understanding of US and Latin American legal structures, along with his familiarity with a wide range of capital markets and financing products, has helped him make important contributions to a number of extremely complicated transactions in Mexico. In 2013, for example, he led the advice to a group of banks and investment firms including Banco Bilbao Vizcaya Argentaria, Goldman Sachs, HSBC Securities, Morgan Stanley and Santander Investment Securities, as underwriters, on an MXN$7.5bn senior notes issue by highways developer Red de Carreteras de Occidente (RCO), in what was the first peso-denominated, cross-border structured transaction of its kind. Other matters he has advised on include: representing Goldman Sachs and affiliates, as initial purchaser, lead arranger, bookrunner, manager, and lender, in an MXN$14.5bn ($1.5bn) three-tranche bank and capital markets debt transaction by Conmex (an operating subsidiary of transportation infrastructure builder OHL Mexico); representing the lead arrangers in a Euro-denominated, syndicated, revolving credit facility for Mexico’s América Móvil; and representing Citigroup Global Markets and Bank of America Merrill Lynch, as initial purchasers, on a $250m bond offering by Kimberly-Clark de México. More recently, Albarracín spoke at a roundtable discussion on Mexico’s capital markets involving Alberto Torres, head of Public Credit at Mexico’s Ministry of Finance; Carlos García Moreno, CFO of América Móvil; Jorge Mendoza Sanchez, CFO of the Comisión Federal de Electricidad (CFE); and Gerardo Vargas, CFO of Fibra Uno, among others.
