What are the key projects you have been involved in over the past twelve months?

Over the past twelve months, my work has focused on supporting ISAGEN’s strategic growth agenda and long-term value creation within a highly regulated and evolving energy market. As llegal aaffairs eexecutive (directora de gestión legal del negocio), I lead the legal strategy for complex transactions, project development and governance matters critical to the company’s business objectives.

A key aspect of my role has been advising on the development and expansion of renewable energy projects, in line with ISAGEN’s commitment to strengthening Colombia’s clean and sustainable energy matrix. I provide legal leadership across the full project lifecycle, from early-stage structuring and regulatory analysis to contractual design, risk allocation and ongoing compliance. This work is carried out in close coordination with business, technical and financial teams to ensure efficient project execution while maintaining strong legal and governance standards.

In parallel, I have been deeply involved in strategic corporate and contractual matters, including optimising ISAGEN’s Procurement Policy and leading complex negotiations with key counterparties. This has required balancing commercial priorities with regulatory, environmental, and governance considerations, ensuring that legal risks are anticipated and managed proactively.

Overall, this work has supported the effective execution of ISAGEN’s strategy, ensuring it remains legally sound, commercially viable and aligned with best practices in corporate governance, while reinforcing the company’s position as a leading energy player in Colombia.

Can you describe an instance where your legal advice directly influenced business strategy or commercial objectives?

My legal advice has played a direct role in shaping business strategy, particularly in the structuring and execution of strategic projects and long-term contractual arrangements. I have advised senior management on the legal and regulatory implications of various structuring alternatives, enabling informed decisions that balance growth objectives with risk, compliance and sustainability considerations.

By translating complex legal and regulatory frameworks into clear and actionable strategic options, I have contributed to key decisions regarding project structures, contractual risk allocation, and execution timelines. This approach has supported ISAGEN in advancing its commercial objectives while maintaining strong governance standards and ensuring long-term resilience in an increasingly complex regulatory environment, particularly through my direct involvement in the company’s growth strategy and project development.

What key trends should in-house counsel be monitoring over the coming months?

In-house counsel should closely monitor the growing regulatory scrutiny, particularly in sectors such as energy and infrastructure, where environmental, social and governance expectations continue to intensify. In Colombia, evolving energy regulation, sustainability requirements and community-related considerations are directly impacting project development and operations.

At the same time, economic uncertainty and market volatility are shaping investment decisions and influencing contractual risk allocation. In this context, legal teams must anticipate these dynamics and support the business with agile, commercially grounded advice.

How has the role of general counsel evolved, and what are the most important attributes for the modern in-house lawyer?

The role of general counsel has evolved from a primarily reactive, technical function into that of a strategic business partner. Today’s in-house lawyer must combine strong legal expertise with commercial acumen, leadership capability and the ability to operate effectively in complex, fast-changing environments.

Key attributes include sound judgment, integrity, clear communication with non-legal stakeholders and a proactive approach to risk management. In regulated industries, independence, along with a strong commitment to governance and ethics, is essential.
