How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
I believe that in crisis situations, the legal manager needs to be a protagonist and assume the role of guardian of the reputation of the company in which he/she works. The legal manager needs to base his/her actions on transparent communication with all stakeholders during the crisis process and act objectively in procedures to avoid excessive bureaucracy that could hinder the decision-making process.
What are the major cases or transactions you have been involved in recently?
I recently participated in a Judicial Recovery project that involved issues related to corporate law, requiring extremely complex negotiations and contracts to ensure compliance with regulations on the subject. I was also involved in issues related to internal compliance policies to address governance and socio-corporate responsibility issues. These cases confirm that the legal department, when integrated with the business, adds value and protects the organisation.
What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?
Companies must increasingly associate sustainability with their business. As General Counsel, I understand that my role must be to provide full support in integrating sustainable practices into the corporate culture and, above all, in the organisation’s relationship with the market, for example, through signed contracts and ongoing training and defining KPIs as executive targets.
A practical example is active participation in multidisciplinary ESG committees, where we discuss and guide actions to ensure that sustainable practices are not only in discourse, but are effectively implemented and measured. Our role is to act as a catalyst for good practices, translating legal and regulatory requirements into strategic actions that add real value to the business.
In your opinion, what are the main trends that are salient in your country currently (these can be legal, political, economy or business-based)?
Currently, in Brazil, I identify some trends that I consider relevant: (i) tax reform: which continues to be a major challenge in economic and legal matters, with profound impacts on business strategies and tax compliance, requiring constant attention from legal managers; (ii) digitalisation and LGPD: The protection and privacy of personal data continues to be a central focus, especially with the increase in regulations and oversight by the ANPD, which directly affects companies’ business models and risk management; and (iii) legal operations: This trend of modernising legal management through clearer, more efficient and technological processes is here to stay. The Brazilian legal market increasingly understands the value of operational efficiency, analytics and strategic data management.
