Career Biography
Klaudia Boczewska is general counsel of Play Group, part of the Iliad Group, one of Europe’s leading telecommunications operators. She leads the legal function supporting a business serving over 13.5 million mobile customers and over 2.1 million subscribers to home services, including fiber internet and television. In this role she oversees legal strategy across corporate transactions, telecom regulation, infrastructure projects, and financing initiatives supporting the company’s long-term growth.
Klaudia Boczewska has played a central role in a series of complex corporate and infrastructure transactions that have significantly transformed the scale and capabilities of Play Group. Her work spans major M&A projects, telecom infrastructure transactions and capital markets financing supporting large-scale investments in connectivity infrastructure in Poland. On daily basis, she is involved in overall Polish business legal and consumers’ related regulatory support.
Klaudia was involved in the landmark transaction of friendly takeover of Play Group by Iliad Group in 2020 followed by delisting of Play from the Warsaw Stock Exchange (the transaction of PLN 9.6bn).
One of the most significant projects in recent years was the acquisition of 100% of the shares in UPC Polska from Liberty Global in April 2022 for approximately PLN 7bn. Klaudia Boczewska led legal aspects of the transaction, as well as supporting the subsequent integration and legal merger of the businesses, completed in August 2023. The merger was finalised in a record 15 months and enabled the launch of a convergent offering combining mobile and fixed services for Play customers.
Another major strategic initiative involved the creation of Polski Światłowód Otwarty (PŚO) in 2023, the largest wholesale open-access fiber network in Poland, established in cooperation with infrastructure investor InfraVia. The project required transferring a substantial part of UPC Polska’s access network assets, representing approximately 3.7 million HFC and FTTx connections, to a new wholesale platform open to other telecommunications operators. The value of the transaction was approximately PLN 1.8bn.
Klaudia Boczewska has also overseen a number of telecom infrastructure and technology transactions designed to strengthen the company’s operational capabilities. These include the sale of Play’s passive infrastructure to On Tower Poland, part of the Cellnex Group, in 2021 for approximately PLN 6.7bn, accompanied by long-term operational cooperation agreements ensuring continued network access and infrastructure management.
The legal function, led by Klaudia Boczewska, has supported multiple acquisitions expanding the group’s technological and fiber capabilities. These include the acquisition and integration of Virgin Mobile Polska, at the time the largest MVNO in Poland, the acquisition of a majority stake in Redge Technologies and subsequent investment in technology development, and the integration of the Silesian fiber and data center operator 3S Group.
Klaudia Boczewska has also played a key role in structuring financing initiatives supporting the group’s investment strategy. These include the launch of a bond issuance program with two bond issuances, totaling PLN 1.25bn, admitted to trading on the Catalyst market of the Warsaw Stock Exchange, as well as the negotiation of long-term financing agreements with a consortium of banks providing approximately PLN 11bn in funding, with incorporation of sustainability-linked covenants over recent amendment and extension of the facilities.
In February 2025, Klaudia Boczewska’s team delivered the company’s first green bond issuance, raising PLN 0.7bn and establishing a dedicated ESG financing channel.
Most recently, an export credit agreement with Citibank signed in January 2026 secured PLN 450 million funding to refinance Ericsson equipment and accelerate the deployment of next-generation network infrastructure. Through these initiatives, Klaudia Boczewska and her legal team support the continued expansion of 5G capabilities, fiber networks and sustainable financing solutions across Play Group.
