General counsel and Company secretary | Fan Milk Plc

Sandra Adu-Gyamfi
General counsel and Company secretary | Fan Milk Plc
What are the key projects that you have been involved in over the past twelve months?
Over the past year, my work has focused on strengthening governance, regulatory compliance, and sustainability across the Fan Milk entities. Key projects include leading the company’s B Corp certification journey, making it the largest FMCG in West Africa to achieve this milestone. This project required close collaboration across functions to align governance, compliance, and sustainability practices with global standards.
I also led legal support for a capital increase project, ensured full corporate governance compliance for a listed entity, and oversaw the planning and execution of a milestone Annual General Meeting in the life of Fan Milk Plc, which coincided with its 65th anniversary.
How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
During periods of instability or crisis, my approach is anchored in clarity, prioritisation, and close alignment with leadership. The first step is to quickly assess legal and regulatory risk exposure, distinguish what is urgent from what is important, and ensure decision-makers receive clear, practical advice rather than abstract legal positions.
I collaborate closely with the executive team to understand the commercial and operational realities at play and then align legal strategy to support business continuity while protecting the organisation’s long-term interests.
What do you think are the most important attributes for a modern in-house counsel to possess?
A modern in-house counsel must combine technical excellence with sound judgement and commercial awareness. Beyond knowing the law, it is essential to understand how legal decisions affect business outcomes, reputation, and long-term sustainability.
Equally important are clarity of communication, the ability to prioritise risk, and the confidence to advise decisively while remaining collaborative. In fast-moving organisations, in-house counsel must be accessible, solutions-oriented, and trusted as a business partner rather than merely a gatekeeper.
What is a cause, business or otherwise, that you are passionate about?
I am passionate about ethical leadership and building institutions that outlast individuals. This includes strengthening governance structures, mentoring younger professionals, and contributing to environments in which integrity, accountability, and fairness are non-negotiable. I believe strong institutions are foundational to sustainable business and societal progress.
