Marius Berariu is a seasoned legal executive with over two decades of experience advising multinational corporations, investment funds, and leading Romanian businesses on complex corporate, competition, contractual/M&A, regulatory, and strategic matters. As Head of Corporate, Competition & Legal Assistance on Strategic Projects at ENGIE Romania since 2018, Marius has played a pivotal role in advancing ENGIE’s energy transition and growth in the Romanian market.
A defining aspect of Marius’s recent work is his deep involvement in the acquisition and development of renewable energy (RES) projects. He has led and coordinated all legal aspects of ENGIE’s acquisitions in the renewable sector, including landmark transactions for photovoltaic, wind, and battery energy storage systems (BESS). Marius manages the competitive selection process for external law firms, supervises due diligence, and supports the business development team throughout negotiations and internal approvals. His expertise ensures that ENGIE’s investments in RES projects are robust, compliant, and strategically aligned with the Group’s sustainability objectives.
In addition to acquisitions, Marius is instrumental in supporting ENGIE’s business teams with the development of internal greenfield RES projects. He oversees and coordinates the land securing and permitting process for new photovoltaic, wind, and BESS developments, ensuring that all legal and regulatory requirements are met from inception to execution. Notably, his legal guidance has been crucial in enabling ENGIE to successfully launch several greenfield projects, helping the company expand its renewable portfolio.
This work is closely linked to Marius’s academic background in environmental studies, which provides him with a unique perspective on the intersection between legal frameworks and environmental impact. His ability to integrate environmental considerations into legal strategies has been key to ENGIE’s success in deploying clean energy solutions that are both commercially viable and environmentally responsible.
Marius also leads ENGIE’s corporate legal department, overseeing governance documentation for all Romanian entities within the Group and liaising closely with the legal team in Paris. He orchestrates major corporate restructuring projects, including mergers, demergers, carve-outs, and share capital increases, and manages intra-group arrangements and shareholder relations.
As Head of ENGIE’s competition department, Marius assesses risks, implements compliance programmes, and leads responses to investigations by the Romanian Competition Council and other regulatory bodies.
Prior to joining ENGIE, Marius was a senior associate at two well-reputed international law firms, where he advised global investment funds, corporates, and developers on M&A, joint ventures, real estate, energy, and regulatory matters. His portfolio includes advising on landmark transactions in sectors such as real estate, energy, pharmaceuticals, retail, and consumer goods, as well as structuring joint ventures and investment vehicles for international banks and private equity funds.
Marius holds a law degree and a degree in environmental studies from the University of Bucharest, bringing a multidisciplinary perspective to his work. His leadership, strategic vision, and dedication to legal excellence have made him a key figure in Romania’s corporate legal community and a driving force behind ENGIE’s continued success in renewable energy.
