How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

By applying a deep understanding of the business and the organization, I approach legal management during times of instability by identifying, categorising, and prioritising risks and challenges through thorough legal analysis. This approach helps mitigate potential negative impacts on operations. In such moments, it is crucial to have robust processes in place, to manage day-to-day legal matters effectively, and to ensure that the team remains aligned and focused.

Equally important is the ability to act as a true business partner, translating legal implications into clear, actionable insights for decision-makers. This enables the organisation’s executives to make strategic decisions with accurate and actionable information and ensures that the legal strategy remains fully aligned with the organisation’s strategic objectives and decisions.

What are the major cases or transactions you have been involved in recently?

The acquisition of the ultra-luxury Park Hyatt Los Cabos hotel currently under construction, including the structuring, drafting, and negotiation of the legal documents and mechanisms required to achieve the functional separation of the hotel business from the branded residential business development associated with the project (transaction value exceeding $80m).

I was involved in the legal audit and acquisition of 50 hectares of ejido land, as well as securing the required ZOFEMAT concessions, to consolidate a land bank for the expansion of a real estate development; and the acquisition of Cabo del Sol, a landmark tourist development in Los Cabos that includes an ultra-luxury hotel, various branded and non-branded residential projects, and two golf courses.

Other key projects included the branded residence sales in Quintana Roo and Nayarit; and the legal audit, regularisation, and acquisition of a 27-hectare beachfront site in Playa del Carmen, Quintana Roo, to expand the group’s hotel and residential business.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

Our company has secured green financing, which has enabled investments to upgrade infrastructure and implement solutions that reduce water and energy consumption across our hotels and residences. We also actively participate in voluntary environmental certification programs — both international and national — reinforcing our commitment to sustainability.

The legal team plays a critical role by collaborating closely with operations and technical teams to ensure compliance with environmental regulations and to monitor adherence to the conditions established in environmental permits, both for new projects and in the ongoing operation of our assets. In this way, the legal function not only safeguards compliance but also supports the company’s broader sustainability objectives.

Beyond knowing the law, this work requires truly rolling up your sleeves, immersing yourself in the projects, conducting on-site visits, and developing a full understanding of how compliance must be achieved in practice. Most importantly, it is about conveying to the team why meeting these requirements matters — not only for the industry and the company, but also for the planet and for future generations.
