How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

Due to the diversification of the companies in our portfolio, crises are not exceptions—they are part of the cycle. My approach has been anticipating as much as possible and embeding flexibility into legal structures from the outset. This means drafting contracts that provide downside protection but also allow creative restructuring solutions when needed. During instability, my role is to act as both risk-manager and opportunity-enabler: ensuring compliance and capital preservation, while having a legal strategy that is integrated with the fund’s investment thesis and portfolio management. By aligning covenants, guarantees, and governance with commercial objectives, I help transform legal safeguards into business resilience.

What are the major cases or transactions you have been involved in recently?

I have led different structuring of private credit transactions, negotiating directly with multiple stakeholders—including creditors, and shareholders—to protect investors while ensuring the continuity of businesses that generate jobs and economic value. Recently, I structured financing for a mid-sized Mexican company in a highly regulated sector, balancing strict collateral requirements with the operational flexibility needed for growth. These transactions required not only technical expertise, but also the ability to translate legal complexity into pragmatic business outcomes—a hallmark of my role as general counsel in private credit.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

Sustainability is embedded not as a separate initiative, but as a core lens for underwriting and governance. We evaluate borrowers not only on financial metrics but also on ESG practices, from environmental compliance to diversity in management. As general counsel, I ensure that our documentation reflects these standards—through covenants, reporting obligations, and governance structures that hold companies accountable. More importantly, I advocate internally for sustainability as risk mitigation: ignoring ESG is not just reputationally costly, it is financially unsustainable. My role is to translate this conviction into enforceable frameworks that shape long-term value creation.

How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?

In private credit, diversity of thought is essential to uncover risks others may overlook. I actively promote gender equity and inclusive leadership, ensuring that decision-making tables reflect varied perspectives. Within the legal function, this means opening pathways for women and underrepresented voices, mentoring younger lawyers, and creating networks that extend beyond our firm. Externally, I participate as panellist and advocate in forums on women’s economic empowerment, reinforcing that diversity is not a social add-on, but a competitive advantage.
