How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

During periods of instability or crisis, our main focus is on building a strong foundation of anticipation and adaptability. We continuously update and strengthen our legal risk matrices to ensure they remain flexible and responsive to changing economic, political and regulatory conditions.

The legal department plays an integral role in strategic decision-making, supporting all business units not only in compliance matters but also in business transformation processes. This approach has enabled us to respond quickly, reduce risks and take advantage of emerging opportunities in a structured and secure way.

We also foster a strong compliance culture based on ethical values, fully aligned with the Group’s corporate strategy. This alignment ensures legal decisions support both immediate operations and long-term business resilience and sustainability.

What are the main cases or transactions that you have been involved in recently?

Recently, we have supported key initiatives related to the Group’s international expansion, including the establishment of foreign entities through soft-landing models to facilitate smooth market entry.

We have also structured and established offshore vehicles for family wealth protection and succession planning. These transactions required a multidisciplinary approach, ensuring compliance with both local and international regulations and the implementation of sound corporate governance.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel/in-house counsel teams contribute to driving and ensuring sustainable practices within the company?

We have made sustainability a core element of our corporate strategy. A major step was joining the United Nations Global Compact, committing to its principles on human rights, labour, environment and anti-corruption. As part of this, we are preparing our first Communication on Progress (CoP) report, reinforcing our commitment to transparency and continuous improvement.

We have also embedded ESG criteria into strategic and operational decision-making across the organisation. Our cross-functional programs are aligned with the UN Sustainable Development Goals, with gender equality as a key focus, both internally and across our value chain.

The legal team plays a central role in supporting these efforts through robust governance frameworks, implementation of internal policies, ongoing compliance oversight and by promoting a culture of integrity. Beyond compliance, the legal department acts as a strategic enabler in building a responsible and sustainable business model for the long term.
