What are the key projects that you have been involved in over the past 12 months?

The refinancing of Ferd AS’ facilities agreement with its core banks, i.e. negotiations and execution:

The refinancing various subsidiaries’ group financing agreements

Secondary placement of existing shares in Elopak ASA in May and September 2024

Underwritten rights issue in XXL ASA

Ferd’s divestment of Broodstock Capital

Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?

In June 2023, Auticon and Unicus entered into an agreement under which the two companies united. Prior to the transaction, we were one of the major shareholders in Auticon and a majority shareholder in Unicus. The deal was brokered by Ferd. The deal established a global model for an autistic-majority social enterprise and ESG company, addressing the inequalities in employment for neurodivergent adults. By joining forces, Auticon and Unicus increased their potential for creating value for customers, employees, and society – in both existing and new markets. The combination marked an important next step for the combined company’s business and social mission. Auticon’s customers get access to a broader range of technology, software, and management services and a larger team with a global footprint, while the employees can continue to grow in the same supported work environment.

What do you think are the most important attributes for a modern in-house counsel to possess?

In my opinion, the most important attributes include:

Legal expertise: deep understanding of relevant laws and regulations.
Business acumen: in-depth knowledge of the company’s industry, business model, strategic goals and values to be able to provide strategic advice.
Communication skills: ability to clearly convey legal concepts to non-legal stakeholders.
Problem-solving ability: innovative approaches to resolving complex issues.
Risk management: skilled in identifying and mitigating risks.
Ethical judgment: strong sense of ethics and integrity.
Adaptability: flexibility to respond to changing legal and business landscapes.
Leadership: capability to lead and manage legal teams effectively.
