What are the key projects that you have been involved in over the past 12 months?
I have been involved in preparing for the completion of a share deal that represents a significant structural and professional development for the Holding company.
My role in the preparation included participating in negotiations, drafting the investment offer, structuring the deal, and preparing the relevant companies within the holding across various jurisdictions for the sale. In addition, my department handled restructuring, due diligence, and the preparation of key documents such as the term sheet, letter of intent, preliminary agreement, and the sale and purchase agreement.
What do you think are the most important attributes for a modern in-house counsel to possess?
I believe that agility, enthusiasm and attention to detail are the three golden skills a successful contemporary in-house counsel must possess. Agility is essential for adapting to constantly evolving environments and the commercial world at large. New technological developments, along with the growth and restructuring of an in-house counsel’s own company and sometimes their own department, require quick thinking and adaptability. Enthusiasm is key to proactively offering the best solutions to the company and organising the legal department in the most effective way. Finally, attention to detail is a fundamental skill that every lawyer, not just in-house counsel, must have.
What do you think sets you apart from other in-house counsel?
What sets me apart from other general counsel is the breadth of my experience, both geographically and professionally. I have overseen in-house legal departments across a wide range of countries, from Eastern Europe and Central Asia to Austria, and have participated in court proceedings as in-house counsel as far afield as the United States. This gives me a unique international perspective that is rare among in-house lawyers. The companies I have worked with span diverse industries, including global banks, financial institutions, real estate, and entertainment holdings. This broad foundation allows me to draw on a rich and varied portfolio of experience when making decisions today.
