What are the most significant cases and transactions that your legal team has recently been involved in?

Over the past year, our legal team has been actively engaged in a variety of significant cases and transactions. I can provide a general overview of the types of work we have undertaken. We have advised on several high-value mergers and acquisitions in the pharmaceutical sector, such as advising Pharmacity in a $45m convertible bond transaction with a foreign investor. Advising Pharmacity as the seller in the sale of a $45m strategic stake to foreign investors. Finally, we also advised Pharmacity in a $40m convertible loan transaction with foreign investors. In addition, we have negotiated complex international contracts and successfully resolved disputes through alternative dispute resolution mechanisms, all of which have had a substantial impact on our organisation’s growth and stability.

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?

One notable innovation involved the implementation of a document and contract management platform named C-Contract, developed by our IT Department in collaboration with CMC Telecom and led by our legal team. This platform helped us streamline our team’s workflow, enhance communication, and improve our contract review and approval processes. C-Contract significantly improved document version control, document sharing, and real-time collaboration among team members, resulting in increased efficiency and enabling us to handle a higher volume of contracts without incurring substantial costs.

How do you see the general counsel role evolving in Vietnam over the next five-ten years?

The role of the general counsel in Vietnam is expected to evolve significantly over the next decade. As the legal landscape becomes increasingly complex and interconnected with global markets, General counsel will need to proactively adapt to emerging legal, regulatory, and ethical challenges. They will play a more strategic role in guiding their organisations through regulatory changes, managing risks, and fostering a culture of compliance. Additionally, the focus on sustainability, environmental responsibility, and corporate social responsibility is likely to become more prominent in their roles as they navigate the evolving expectations of stakeholders.

What are some of the main trends impacting your industry in Vietnam?

In the legal industry in Vietnam, we are witnessing several trends that are shaping our work. These include the growing importance of data privacy and cybersecurity regulations, the rise of ESG (environmental, social, and governance) considerations, and the increasing emphasis on cross-border legal matters as businesses expand globally. Additionally, the ongoing digital transformation is redefining how legal services are delivered, with automation and AI-assisted tools becoming increasingly integrated into our daily operations.
