Tracey is the General Counsel for Tysers Insurance Brokers. She joined Tysers in London in 2024 and leads the Legal function, with oversight of the Data Protection, Compliance and Company Secretary areas that support Tysers’ UK and international offices. Tracey has 25 years’ experience advising the insurance market and is a CMI Fellow, a Chartered Manager and a Company Director within the AUB Group which acquired Tysers in 2022.

A respected and strategic leader, Tracey is passionate about developing high-performing teams and fostering a culture of collaboration, accountability and continuous improvement.

Her deep technical knowledge, combined with a pragmatic and commercial approach, makes her a trusted and respected adviser to senior executives and boards. She supports the business in navigating complex legal and regulatory challenges across a dynamic, complex international environment.

Working closely with colleagues across Tysers and the wider AUB Group, Tracey has a strong focus on strengthening governance, legal and regulatory compliance across multiple jurisdictions while enabling the group’s growth ambitions. Tracey and her teams advise on a broad range of matters, including M&A, corporate restructurings, litigation, arbitration and investigations, commercial and distribution arrangements and employee-related matters in partnership with the HR team.

Since joining Tysers, Tracey has enhanced the strategic contribution of the Legal function, ensuring legal and compliance considerations are embedded within business decision-making. Her ability to build strong relationships across legal, risk, compliance, HR and operational teams enables her to deliver practical, commercially-focused solutions while maintaining robust governance standards.

Tracey has extensive experience working with boards and executive leadership teams on corporate governance, regulatory change, organisational transformation and risk management. She is highly regarded for her ability to manage complex stakeholder relationships and lead through periods of change, bringing clarity, sound judgement and a solutions-focused mindset to some of the most challenging strategic issues facing the businesses she supports.

Before joining Tysers, Tracey spent 10 years with the Zurich Group in the UK. She served as Head of Legal for Endsleigh Insurance Brokers and Zurich’s Personal Lines before being appointed Head of Legal for Zurich’s UK Retail, Life, Funds and Investments businesses. During her time at Zurich, Tracey was a Company Director for several of Zurich’s group entities.

Prior to this, Tracey spent 12 years in private practice. Following her training, she joined Barlow Lyde & Gilbert’s Reinsurance and International Risk team advising on UK and multi-jurisdictional reinsurance disputes and complex (re)insurance matters in the life and general insurance markets. During this time, Tracey was seconded to a Lloyd’s Syndicate and a life reinsurance company where she was appointed Group Company Secretary.

Team size: Two lawyers but also responsible for Co Sec, Data Protection and I have a reporting line from the Head of Compliance, so 25 individuals in total.

What are the key projects you have been involved in over the past twelve months?

Governance enhancements for the Tysers Group companies has been a key project. I worked with Risk, Compliance, Co Sec and AUB Group colleagues to review and design appropriate corporate governance and minimum control standards across the entire group of companies, including those overseas and newly acquired by both the Tysers and AUB Group. The goal has been to implement group standards that are appropriate and proportionate to the various businesses depending upon our shareholding, the size and complexity of the companies and our risk assessment of their business. This has already resulted in improved reporting and enhanced levels of oversight and control for Company Directors and shareholders.

I supported M&A activities including the acquisition of the Prestige Group of Companies by AUB, working alongside Pinsent Mason and the AUB and Tysers Legal, Financial, Co Sec and HR teams. I have also worked to support internal company restructuring to align with Tysers Group strategy.

I am responsible for management and oversight of all contentious matters, disputes and investigations and E&O management, involving the Group. Amongst other successful outcomes that remain confidential, this year the legal team has successfully sought and obtained injunctive relief in the DIFC in relation to inducement to breach employee restrictive covenants in that jurisdiction. We have enhanced the processes around E&O risk identification and prevention, supported training of brokers and improved on the internal processes so that Risk, Compliance and Legal are working more efficiently together and providing clear reporting upwards to our Risk and Compliance Committee and Board.

Please provide a brief description of any internal transformation/development projects within your legal team over the last twelve months.

In the last year, I have been joined by a very experienced litigator, Chander Agnihotri, and this has significantly enhanced our capability to handle more contentious work in-house and to enable both of us to have the time to engage more strategically with internal stakeholders and with external advisers across multiple jurisdictions. We have also been better able to support our North American Group companies in relation to their expansion and hiring requirements.

The UK Co Sec team is now part of the Legal Function, alongside Data Protection, and this provides for collegiate working practices with Compliance and the Risk and Audit team. The Head of Risk and Audit and I work closely together, aligning our messaging and our team meetings/events so that there is better coordination, learning and development across the teams. This has also created new opportunities for team members to learn about another Function and to consider applying for openings as they come up.

As part of our hiring strategy, Andy Simpson and I work to enhance the team as a whole with every new hire, considering experience and technical requirements with personality fit and diversity of thought.

I am a member of the DE&I Committee in the company and look to implement the goals we agree within the team. Some of this I do personally, but we also engage external support to provide training and coaching to help team members reach their goals.
