The last years have been transformative for Union Bancaire Privée (UBP) due to the recent acquisitions, which have led to the integration of lawyers from several jurisdictions including Asia and Zurich, Switzerland. This has in turn moulded the team into a global network as opposed to one centralised team. Supporting senior management with its strategic decisions is a key role of the legal team at UBP; this includes advising on core M&A transactions and playing an essential role in the implementation of cross-border regulations and tax codes. Pierre Dayer, senior managing director and chief legal officer says that ‘reactivity and flexibility are key strengths for us. Equally, we aim to provide added value and bring concrete solutions to the management of deals and the negotiation of contracts’. The team takes pride in its ongoing stability having had no departures in recent years and encompassing a team of highly-talented and multilingual lawyers with ‘complementary competencies’. Under Dayer’s leadership the legal team has been instrumental to the completion of several acquisitions in recent years, including a share deal to acquire ABN AMRO Bank (Switzerland) in 2011, and asset deals to acquire Lloyds Banking Group’s international private banking business in 2013 and the international business of Coutts in 2015. Due to the evolving regulatory and tax environment the team has found itself increasingly collaborating with other internal teams including compliance and private banking operations to find the most effective, pragmatic and innovative solutions for Union Bancaire Privée.
