The Chubb and ACE legal teams have been tasked with the recent merger and integration of their companies, creating the world’s largest publicly traded property and casualty insurance company. ACE paid approximately $29.5bn in cash and stock to acquire Chubb, before merging the businesses and adopting the Chubb brand name. The company is also formally launching the new Chubb brand, including its visual identity and ‘signature’ which the legal team has worked towards making possible. The team of highly-qualified lawyers with comprehensive knowledge of markets and industries provided excellent support and advice to the business during this critical change. Achievements of the legal team include the revamp of the legal and compliance departments, which both had a strong operational culture, and changing the mentalities of those who had ‘little understanding (or sympathy)’ of the utility of these departments. The team will continue to be led by group general counsel Joseph Wayland. In efforts to become more efficient the team has now set up legal, tax and compliance departments in four different groups across four different countries, representing two shareholders of a joint venture in the recovery of over $1.5bn, co-leading an initial public offering on the London Stock Exchange and rolling-out a group wide compliance policy across 15 countries.
