Howard Kleinman is a partner in Dechert’s corporate and securities group and focuses his practice on mergers and acquisitions, capital markets and financial transactions. With nearly three decades of experience in the Latin American region, Kleinman regularly represents buyers, sellers and advisers in connection with domestic and cross-border mergers and acquisitions. His clients include a broad range of publicly owned and privately held companies and financial institutions based in Mexico. He has particular expertise advising Latin American companies seeking to establish or expand their global footprint across the US and abroad, and has worked on numerous complex multinational transactions.

Fluent in English and Spanish, Kleinman also represents issuers, underwriters, and others in equity and debt offerings. His experience includes US registered public offerings and offerings under Rule 144A private placements, offerings outside of the US under Regulation S, exchange offers, debt tenders, and consent solicitations. In addition, he counsels both US and non-US issuers on ongoing disclosure obligations under the US federal securities law and corporate governance matters.

Significant recent representations in Mexico and for Mexican entities include advising Cinépolis, the world’s second largest movie theater circuit in terms of attendance. He also represented GMéxico Transportes S.A. de C.V. in its US$2.1bn acquisition of the Florida East Coast Railway. Kleinman’s other Mexican clients include: PEMSA; GrupoCinemex; Laguna Dairy; Mexichem; and UNIFIN Financiera.
