About

Federico Ciotola serves as the head of legal for capital markets Italy, where he is part of the institutional functions of the Borsa Italiana – the Italian stock exchange – in its active legal role of due diligence and legal advice in all listing processes on equity and debt instruments as well as on regulated markets and MTF, providing institutional committees and authorities with decisive legal advice. Ciotola joined Borsa Italiana as senior legal counsel in September 2012, and in January 2018 assumed his current position as head of legal capital markets Italy where he provides continuous and proactive interaction with all group functions and divisions ensuring effective and legally focused real time support. Prior to transitioning to his in-house position in 2012, he spent a significant amount of time within the corporate M&A department at Freshfields Bruckhaus Deringer in Milan, assisting on a number of large scale acquisitions. Amongst these transactions, he contributed to the major Australian pharmaceutical company Mayne Pharma’s acquisition of two Italian companies operating in the supply and distribution of drugs and medical products. He also assisted 3M, a US company leader in advanced polymer processing and design, in the divestiture of its Italian subsidiaries, drafting relevant share purchase and service agreements to assist the buyer for an interim period. During his previous spell in private practice he also advised American multinational conglomerate GE on all corporate issues in connection with its acquisition of Interbanca, assisting the client in the transaction procedure. His time at Borsa Italiana has required his involvement in the restructuring of the legal function after it was significantly reduced in 2017, which required an extraordinary effort from Ciotola and all remaining team members which he managed efficiently and skilfully. He has also been focal to a number of important transactions in the last three years, firstly two M&A projects of the prospected merger between LSEG and Deutsche Börse Group – the investment of two remarkable institutional minority investors during which he had the chance to work closely with colleagues and manage the external consultants. In addition to this, he also worked on the response to an EU Commission RFI equity trading and real time data business on the Italian side, during which he was required to deal with the managing and coordination of the different business areas involved. Ciotola works in conjunction with the London Stock Exchange Group’s head of legal for Italy, Cristina de Haag, in providing accurate and timely advice to one of the most important financial entities in the country.
