About

Manuel Champalimaud, formerly known as Gestmin, is an investment management group with particular interests in the sectors of energy, food logistics, tourism and leisure, and agro-industry. Ana Maria Ramos is the head of legal and company secretary, leading a team of three lawyers, including Margarida Begonha, Mafalda Matos, and Andreia Pito. The legal team deals with all legal matters of the Manuel Champalimaud group (including Manuel Champalimaud and all the companies held by it), as well any matters related to the group’s financial participations in CTT and REN (companies listed on the Lisbon Stock Exchange). As head of legal, Ramos supervises the team and handles issues directly linked to the holding and listed companies as well as special M&A projects. In the words of a nominator she has ‘18 years’ experience in the legal profession [and] comprehensive knowledge of all areas of law including employment, real estate, finance, regulatory and M&A. She is pragmatic and rigorous in her approach to various matters that she deals with as head of legal’. Ramos is assisted by Mafalda Matos, who deals with corporate and registration issues. Margarida Begonha, senior lawyer, is responsible for labour and finance matters and deals with ongoing legal matters of OZ Energia (the group’s companies in the oil and gas sector), and also serves as deputy company secretary. Recently Andreia Pito joined the team, reporting directly to Begonha and focusing on client, registration and certification matters. For the last two years, the team has seen an increase in the workload caused by business growth and various M&A projects, with Pito joining the team, the members are able to redistribute work and implement a procedure which enables them to monitor the workflow and compliance. In 2018, the team dealt with the legal aspects of the rebranding of the group (from Gestmin to Manuel Champalimaud). With the group relocating its new head office to Lisbon, the team assisted in all stages of the process – from the purchase deal, to financing and construction agreements and finally all the legal implications of the relocation, particularly from a labour and corporate law point of view. Talking about the team culture, Ramos states: ‘Even if each of us has our specific role, we are all able to jump in and help other members of the team at any time. Alongside, we have been building a trust based relationship, which is essential in a working environment’.
