About

A financial legal specialist, Jaime de Miguel Muñoz has been part of CESCE’s legal setup since 1996. From 2012 onwards he has been the insurance company’s legal department director in charge of eleven senior lawyers who he ensures partner the business as much as possible.

‘A close relationship with the different departments of the company was boosted in order to give them, as [our] main customers, full service and support to each and every activity of the company and the group’, he says. In his current role, de Miguel Muñoz has been a part of some truly momentous projects: ‘As director of the legal department of the company I have been directly involved in the financing, issuance of bonds and insurance of the main export transactions of the most international Spanish companies during the last ten years.

Among others, I was involved on the modification of the Panama Channel, the Mecca to Medina railway project, and some of the largest project finance deals in the oil and refinery business in Turkey and Middle East’. De Miguel Muñoz is commended for leadership in implementing new laws and regulations affecting the organisation, including the European Solvency II Framework Directive and the new definition of the commercial state in Law 40/2015 which brought important changes in by-laws on the composition of board members and imposed further compliance obligations. Perhaps most significantly, he has been in a key figure in CESCE’s most important proposed transition in recent memory: ‘I [had] been leading the legal team (external and internal) to prepare the privatisation of the whole CESCE Group, including seven insurance companies in Latin America and almost a dozen services companies, among them some of the leading companies in Spain and Portugal dealing with economic information.

Once the privatisation was cancelled, the main challenge was converting the affiliates of the group into the public sector as per the new definitions given by the Law 40/2015 de “Régimen Jurídico del Sector Público”’. Demonstrating the trust senior management places in him, de Miguel Muñoz was appointed as group officer in the prevention of penal risks in 2016, since then he has developed penal risks maps, risk controls and ethic codes for the group and each of its companies.
