With over €30bn in revenue, Caisse Nationale de Prévoyance (CNP) Assurances is a French Fortune Global 500 insurance company. The company is supported by an expert legal team consisting of some the country’s best in-house legal minds. Since joining CNP Assurances in 2009, general counsel Louis Kergall has set up and managed two different legal teams: a team of four in the international legal department, and then a team of 14 covering corporate legal affairs. Having spent a portion of his career working predominantly on M&A matters, Kergall has been able to expertly manage both domestic and international strategic M&A and financial investment operations for CNP. The team now under Kergall’s guidance has also rewritten many internal processes for the company, for example: reworking the method for establishing supplier contracts and monitoring trademarks and domain names; updating the legal documentation regarding invoicing; and improving the management, monitoring and reporting for the listed company and its subsidiaries. Xavier Vamparys, head of legal for corporate and international affairs, is also commended for his operational expertise having gained experience in senior in-house roles since 2006. In late 2016 the CNP legal team assisted the company when it signed a long-term partnership with EDF and Caisse des Depots for the acquisition of a 49.9% indirect stake in RTE, a French transmission system operator, for nearly €4.1bn. In another development, in 2017 the team has been involved in the acquisition of a 6,000m2 office building in the centre of Paris under its collective real estate investment vehicle.
