Corporate legal counsel | Cesar Iglesias

Firstly, can you give us an idea of the type of work your team has done recently?

We have advised César Iglesias, a company with more than 100 years of history, close to 3000 employees and more than 60 consumer brands, in obtaining the authorisation to become the first publicly listed company in the Dominican Republic, and secondly implementing the corporate governance programme required by the Dominican stock market regulation for publicly listed companies. We have also advised César Iglesias on Dominican securities market regulation, including insider trading, disclosure rules, related party transactions, among others. This groundbreaking historic transaction, with national implications, will not only foster economic development, but will also mark a new chapter in the evolution of Dominican capital markets.

How do you keep up to date with changes in laws and regulations relevant to your organisation’s industry?

Since 2017, I have been part of the National Association of Young Entrepreneurs (ANJE), a leading non-profit organisation in the Dominican Republic, one of whose main mandates is to promote positive changes in the Dominican legal regime. In fulfilment of this mandate, at ANJE we review, analyse and comment on all proposed and newly enacted laws. In this way, I keep abreast of changes in laws and regulations relevant to the industries in which the companies I advise are involved.

What is one cause, business related or otherwise, that concerns you and why?

All industries are becoming increasingly regulated, and with each increase in regulation, the provision of legal services becomes more complex. In addition, advances in technology and communications have meant that clients have come to expect quality legal services delivered ever more expeditiously. This added regulatory complexity coupled with new client expectations, may represent a concern for legal professionals due to the potential trade-off that could be produced as a result of performing a more complicated task at a faster pace, while try to preserve quality.

In the future, I believe that technology will help legal professionals manage this trade-off. In the meantime, I believe that this trade-off could be managed through increased specialisation on a particular topic and the creation of tools, such as legal and risk matrices, covering laws, regulations, analyses, opinions, and recommendations in relation to a particular subject.
