What are the key projects you have been involved in over the past twelve months?

Over the past twelve months, I have been heavily involved in complex cross-border M&A, restructuring operations and financing transactions within the energy and infrastructure sector across Latin America. One of the most significant projects is the acquisition of a renewable energy platform with assets across multiple jurisdictions (Colombia, Chile and Perú), involving intricate transaction structuring, financing coordination and multi-country due diligence workstreams.

In my role, I coordinated legal strategy across Colombia, Spain, Chile and Peru, managing the interaction between internal stakeholders, external counsel, lenders and counterparties. The transaction involved simultaneous negotiations of acquisition documentation, financing arrangements, project finance consent processes, the replacement of extensive security packages associated with operational projects and obtaining regulatory approvals in Colombia and Perú.

Beyond the technical legal work, I played an active role in project management and strategic decision-making. This included helping align commercial objectives with legal risk allocation, facilitating negotiations among multiple stakeholders and ensuring efficient communication across jurisdictions and teams.

Can you describe an instance where your legal advice directly influenced business strategy or commercial objectives?

The structuring and execution of a multi-jurisdictional acquisition in the renewable energy sector, which enables Promigas to materially diversify its portfolio into a new line of business and materialises its strategy and commercial objectives, representing a cornerstone in the transition of Promigas into a multinational energy company.

I worked closely with the financing, accounting, tax and business development teams to deploy a coordinated legal strategy that balanced transactional objectives with legal protections, including engaging a representations and warranties insurance policy. The legal strategy ultimately became a key component of the overall business plan and contributed directly to the successful progression of the transaction.

In parallel, I have also supported financing initiatives and corporate restructuring matters aimed at enhancing operational flexibility and supporting the company’s long-term business strategy.

How can in-house counsel use AI to improve efficiency while maintaining quality, governance and integrity within legal teams?

AI is already transforming the way legal teams operate, particularly in areas involving large volumes of information, repetitive processes and document-intensive workflows. For in-house counsel, AI has significant potential to improve efficiency in areas such as document review, contract analysis, legal research, knowledge management and project coordination. In my opinion, AI should be used as a tool to aid lawyers rather than replace critical legal thinking. My team has been proactive in this approach as we continue to explore and learn!
