What are the most significant cases or transactions that your legal team has recently been involved in?

We worked in collaboration with several law firms and financial advisors on one of the biggest energy transmission deals of the year, which involved the purchase of several substations and transmissions lines (M&E), and the closing of a 144A/REG S Bond in USA, to secure the acquisition of more than 899 kms of lines and 27 substations in the Chilean National and Zonal Electric systems.

Our local team provided legal support for the parties during the process, review of contracts and closure documents, among others. This was the largest deal since the company started operations in Chile in 2012. It is also the first acquisition of assets whose incomes or revenues are not only composed of regulated tariffs set by the local authorities, as the portfolio was also composed by unregulated transmission and toll agreements – contracts directly negotiated among private parties.

If existent, can you talk about you or your company’s efforts relating to renewability, sustainability or other environmentally friendly activities?

The company is strongly committed to actions that align with market guidelines on ESG. In addition to participating on GRESB Global Infrastructure ranking with the best scores and engaging in activities with the UN Global Compact working groups, we are in the process of improving our community and social strategy to identify and support local projects to have a positive impact on our communities.

What are some of the main legislative or regulatory changes that have impacted you?

We think that all the regulatory changes related to corporate felonies that are currently in force, and the incorporation of new regulations that will soon be legally published, are continuously allowing us to redefine, improve and reinforce our compliance programs and politics to ensure our commitments to develop our business aligned with the standard that our stakeholders demand.

The impacts of the upcoming law will require major additional efforts in training programs, updating internal controls and the use of modern technologies to avoid any risks of noncompliance, as management teams will be strongly responsible for their actions or omissions.
