Career Biography
Rosa María Jiménez Morúa is a seasoned lawyer specialised in commercial law, with over thirty years of experience as an attorney for top law firms and elite clientele in the Republic of Costa Rica, focused on local real estate development, construction, banking, and finance.
Ms. Jiménez has broad experience in corporate law, commercial contracts, mergers and acquisitions, corporate and real estate due diligence processes. She advises real estate developers on real estate acquisitions, rights, and complex shareholding and joint venture agreements, including real estate development trusts between private entities (REITs), and banking syndicates in diverse industries, including agribusiness, hospitality, real estate, and education.
She is a public notary duly authorised in the Republic of Costa Rica with very high knowledge about special business’ complex processes for recording at the Public Registry.
The trajectory and experience gained highlight the deep training in negotiating all types of agreements, the ability to establish business strategy and strategic planning for project development, project management as well as management of the associated risks, and the leadership of teams focused on achieving results.
Ms. Jiménez is a senior commercial lawyer with over thirty years of experience advising corporations, financial institutions, and real estate developers in Costa Rica and the region. Her practice focuses on commercial law, corporate governance, banking and finance, mergers and acquisitions, and complex real estate transactions, where she is widely recognised for aligning legal strategy with business objectives.
She currently serves as chief legal officer (CLO) of Genera Holdings Corp., leading the development of the company’s legal department and overseeing corporate restructuring across multiple business verticals. In this role, she is responsible for legal strategy, risk management, governance frameworks, and regulatory compliance, reporting directly to the CEO, Board of Directors, and shareholders.
Throughout her career, Ms. Jiménez has held senior roles at leading Central American law firms, including Zurcher, Odio & Raven and Consortium Legal where she headed real estate departments and served as a key advisor to banking and finance practices. She has also been country legal manager for YNV Group, an international organisation operating in technology, fintech, real estate, education, and software development, where she established and led the legal department in Costa Rica.
Her experience includes advising on sophisticated corporate financing and strategic transactions, advising on high‑profile hospitality, mixed‑use and educational projects, working with international banks and multilateral institutions such as the IFC and IDB. She played a leading legal role in the establishment of Texas Tech University in Costa Rica, a landmark foreign investment in higher education.
Ms. Jiménez is a Public Notary authorised in Costa Rica, holds a law degree and a Postgraduate Specialisation in Commercial Law from the University of Costa Rica, and has Spanish as her native language and working proficiency in English. She has been recognized by Chambers & Partners and named in the GC Powerlist Central America (2022) among the region’s most influential general counsels.
