 Career Biography

Charles Warren Beil is a corporate and securities lawyer whose work centres on mining and natural resources. He is currently vice president, general counsel and corporate secretary of Triple Flag Precious Metals Corp., a precious metals streaming and royalty company. Over a career of more than fifteen years, he has worked advising resource companies, from early-stage explorers to established royalty and streaming businesses.

Warren attended the University of Victoria, finishing his undergraduate studies in 2003. He then trained in law in two countries, earning a juris doctor with honours from Bond University in Australia and a juris doctor from the University of Toronto. He is a practising member of the Law Society of British Columbia.

His career in law started with Blake, Cassels & Graydon LLP in its Vancouver office, as a summer articled and articled student. On his admission to the B.C. Bar, he became a member of the capital markets practice group.

He then moved to become the general counsel to Pathway Capital Ltd., a Vancouver-based company that founds and finances mineral exploration and development companies. Through Pathway’s group of companies, he also served as corporate secretary for several public issuers, including Esperanza Resources Corp., and Lowell Copper Ltd. In addition to his work in the mining and natural resources sectors, while at Pathway he was involved in the creation of Tempest Capital, an IIROC-registered brokerage that was founded by the principals of Pathway. This early work gave him hands-on experience with financings, stock exchange listings, continuous disclosure and governance requirements for small-cap public companies.

From 2014 to 2015, Warren was general counsel to the Cactus Club restaurant group. In 2016, he joined the Vancouver office of Gowling WLG as an associate in its corporate commercial group, where he focused on banking and finance. In 2018, he returned to the resource sector as vice president, legal and corporate secretary of what was then Allegiant Gold and Columbus Gold.

Later in 2018, Warren became general counsel and corporate secretary of Maverix Metals Inc., a fast-growing gold royalty and streaming company. Over the next five years, he advised on the company’s royalty and stream acquisitions, securities and stock exchange compliance, public offerings, asset purchases, option agreements, joint ventures and stock exchange listings. In January 2023, Triple Flag acquired Maverix. Warren joined Triple Flag as vice president, general counsel and corporate secretary, and he now leads the legal and corporate governance work of a company with a global portfolio of streams and royalties.

Outside his executive role, Warren has been an independent director of Westward Gold Inc., a Nevada-focused exploration company, since May 2021. There he brings his legal and governance experience to the boardroom.

Warren is also currently a trustee for the Foundation for Natural Resources and Energy Law, as well as the co-chair of the Foundation’s investment committee.
