What are the most significant cases or transactions that your legal team has recently been involved in?
Over the past year, I have advised on several strategically significant matters spanning complex commercial matters involving multiple jurisdictions, complex financing issues, major commercial projects and corporate governance. Throughout these engagements, my focus has been on delivering commercially pragmatic legal solutions that support the company’s strategic objectives while effectively managing legal, regulatory and strategic risk.
A significant aspect of my practice involves advising on complex commercial matters involving multiple jurisdictions. I work closely with internal stakeholders and external counsel to navigate differing legal and regulatory frameworks, negotiate and review complex commercial documentation, and ensure that legal and commercial risks are appropriately managed while supporting the company’s strategic objectives.
I also played a key role in advising on a complex financing issue involving a major financial institution. Working closely with external counsel, I developed legal strategy, assessed contractual and regulatory issues, managed litigation risk and supported high-level stakeholder engagement aimed at achieving a commercially sustainable resolution while safeguarding the company’s legal position and business continuity.
In addition, I continue to support the business through the negotiation and drafting of construction contracts, consultancy agreements, subcontracts and other commercial arrangements for major infrastructure projects, strengthening contractual certainty, mitigating enterprise risk and supporting timely project delivery.
Beyond transactional and dispute work, I have strengthened the company’s governance and compliance framework by reviewing and updating key employment policies and governance documentation, while providing ongoing strategic legal advice to senior management on governance, employment, regulatory and commercial matters. How do you navigate the legal complexities of cross-border transactions within the East African Community (EAC) and beyond?
Cross-border transactions require a legal approach that extends beyond understanding the law in a single jurisdiction. My role is to identify legal and regulatory risks early, understand the legal frameworks applicable in each jurisdiction, and structure transactions in a manner that protects the company’s commercial interests while remaining compliant with local legal requirements.
A key aspect of my approach is working collaboratively with local counsel and multidisciplinary teams to address jurisdiction-specific issues, including regulatory approvals, contractual enforceability, procurement requirements and dispute resolution mechanisms. This ensures that local legal issues are appropriately considered while maintaining consistency with the company’s commercial objectives and risk appetite.

As the sole in-house legal counsel, my approach is to integrate legal risk management into the company’s decision-making processes rather than treating it as a standalone legal function. By working closely with senior management and cross-functional teams, legal considerations are incorporated at an early stage of projects and commercial decisions, enabling the business to identify and mitigate risks before they materialize.
A key strategy has been strengthening contractual risk management through the careful negotiation and drafting of construction contracts, consultancy agreements, subcontracts and supplier agreements. This ensures obligations are clearly defined, risks are appropriately allocated and dispute resolution mechanisms are robust, reducing the potential for costly disputes and project delays.
Regulatory compliance is another critical area of focus. I continually monitor legislative and regulatory developments and assess their potential impact on the business. This has informed the review and enhancement of governance documents and employment policies, ensuring the company’s compliance framework remains aligned with current legal requirements and recognised best practice.
I also work closely with finance, procurement, human resources, project teams and external counsel to develop practical, commercially focused solutions that support business objectives while maintaining compliance. Whether advising on financing matters, cross-border transactions or disputes, my objective is to deliver pragmatic legal advice that protects the company’s interests while enabling informed decision-making, business continuity and sustainable growth.
How is the role of the General Counsel evolving in East Africa as organisations place greater emphasis on governance, transparency and ESG considerations?
The role of the General Counsel in East Africa has evolved significantly from that of a legal adviser to that of a strategic business partner. Today’s General Counsel is expected not only to provide legal advice but also to contribute to business strategy, strengthen governance, support ethical decision-making and help organisations navigate an increasingly complex regulatory and commercial environment.
As businesses expand across jurisdictions and regulatory expectations continue to evolve, legal functions are playing a more proactive role in embedding governance and compliance into everyday business operations. This includes advising management on legal and regulatory developments, strengthening internal policies and controls, promoting accountability and transparency, and ensuring that legal considerations are integrated into key commercial and operational decisions.
Governance and ESG considerations are increasingly important to investors, financiers and other stakeholders. In-house counsel therefore play a key role in balancing commercial objectives with responsible business practices by promoting ethical conduct, ensuring compliance and supporting sustainable long-term growth.
