Career Biography
Juan Guillermo López Palacio is a seasoned corporate legal executive with extensive experience in corporate law, governance, compliance and strategic risk management. He has held senior leadership positions in the private sector, notably serving as legal director at Bavaria, where he led key initiatives related to M&A, litigation, competition law and legal transformation. His career is distinguished by a strong business-oriented approach, leadership of multidisciplinary teams, and a commitment to innovation within the legal function.
What are the key projects you have been involved in over the past twelve months?
Contract restructuring and commercial risk optimisation has been a key focus. I led the review and standardisation of key contracts (distribution, supply and marketing), incorporating clauses to mitigate regulatory and commercial risks. This reduced legal contingencies and improved business execution agility. As a result, negotiation times decreased by approximately 50% and the company’s position with third parties was strengthened.
I have also led regulatory compliance management. I implemented and strengthened compliance programs across relevant regulations (consumer protection, competition, advertising, sector-specific rules and permits/licensing). This fostered a stronger compliance culture and reduced sanction risks, resulting in no significant penalties and improved internal and external audit outcomes.
I provided support for commercial and innovation initiatives. I advised on the launch of new products and business models, ensuring legal and regulatory viability from early stages. This enabled business opportunities without unnecessary exposure, with projects delivered on time and without significant legal contingencies.
Can you describe an instance where your legal advice directly influenced business strategy or commercial objectives?
I led a comprehensive transformation of the contracting process by implementing risk-based templates, fallback clauses and delegated approval frameworks, while integrating digital tools and contract lifecycle management (CLM) solutions. This initiative not only streamlined workflows, but also advanced innovation and technological transformation within the legal function. As a result, it significantly accelerated deal closure, enhanced consistency and risk control, reduced operational burden on legal teams and enabled a more agile, scalable and efficient go-to-market strategy aligned with business growth objectives.
What key trends should in-house counsel be monitoring over the coming months?
In-house counsel should closely monitor the increasing intersection between regulation and technology, particularly in areas such as data privacy, artificial intelligence (AI) and digital transformation. Additionally, growing regulatory scrutiny across industries is driving the need for stronger compliance frameworks and proactive risk management.
Another key trend is the shift of legal teams toward a more strategic, business-oriented role, where efficiency, scalability and the ability to enable growth are as important as risk mitigation. Legal departments are also expected to adopt technological tools, such as contract lifecycle management systems and AI-driven solutions, to enhance productivity and deliver faster, more consistent outcomes.
How has the role of general counsel evolved, and what are the most important attributes for the modern in-house lawyer?
The role of general counsel has evolved from a primarily reactive, risk-focused function to a strategic business partner that actively contributes to decision-making and value creation. Today’s general counsel is expected to balance legal judgment with commercial awareness, enabling the business while maintaining strong governance standards.
Key attributes of the modern in-house lawyer include strong business acumen, adaptability and the ability to communicate complex legal concepts in a clear and practical way. Additionally, leadership, collaboration and a mindset focused on innovation and continuous improvement are critical, particularly as legal teams integrate technology and new ways of working to drive efficiency and impact.
