What are the most significant cases or transactions that your legal team has recently been involved in?

Due to tax reform and the strong impact on business and internal governance, 2025 had as focus not only the legal support for the implementation of the new regulation to fiscal area but mainly reach the whole understanding about the impact on all perspectives and actions to be done: standard agreements and commercial proposals were carefully reviewed, to reach a coverage of the new rules already known and allow the company the enter into a good faith negotiation depending on the terms of pending regulations, for example. The budget was prepared considering the risk of tax assessments and claims to be proposed by companies against unclear rules also and, unfortunately, 2026 started with court class actions involving the tax reform, increasing the apprehension regarding tax risks. The process and rules simplification proposed by the Brazilian government hasn’t been identified by taxpayers until now, causing several concerns regarding the strong internal governance that should be applied not only for its own business but also for suppliers and partners from now.

What new pressures are you facing from the business as expectations for legal to act as a strategic partner continue to grow?

In my mind, the speech to develop the legal area as a business partner is behind time, considering that legal has already proved its value for business over the past years and it isn’t longer a question. If a Legal Head needs to use this speech inside of the company, with pairs and CEO, means that the communication isn’t working very well. The business expectation regarding legal deliverables is similar to any business line: clear roadmap of legal activities strongly connected with business plan; effective control over budget, costs and material impact to financial results due to Court cases; map with action plan about liabilities eventually identified and clear support to root causes of any issue.

Legal should have a seat in all main internal committees, due to its strong contribution to the business health. How is your organisation adapting to the rapid evolution of data protection, AI governance and cybersecurity requirements in Brazil?

Midea Carrier works with a multidisciplinary team on topics such as AI, data protection and cybersecurity. Such strategy is mandatory considering that these regulations impact directly on investments, IT business plan, internal procedures and consequently on business. At minimum, Legal, IT and Internal Controls areas provide joint support for any assessment connected to these topics and monitoring best practices and new regulations. As a joint venture between Sino-American global organizations, Midea Carrier has an extraordinary opportunity to assess these regulations also and implement in Brazil global best practices, complying not only with local rules but providing a strong coverage over these topics based on international regulations.
