Armed with an LLB, an MBA, and additional legal qualifications, Victor brings a rare combination of technical legal knowledge and commercial acumen. He began his career at a leading South African commercial law firm, where he mastered the art of navigating complex transactions. Those early years laid the foundation for his multidisciplinary approach, one that has served him well in high-stakes environments across Africa and beyond.

In 2018, Victor joined Samancor Chrome, a global leader in chrome mining and ferrochrome production, as Group General Counsel and Company Secretary. By 2021, his appointment to the Executive Committee cemented his role as a key driver of corporate strategy. Today, he leads a team of legal professionals, overseeing legal, compliance, and governance functions with a focus on efficiency and sustainability.

Victor’s achievements at Samancor speak volumes. He contributed to the conclusion of a 100MW solar photovoltaic project, providing guidance regarding critical power purchase agreements that support the company’s sustainable energy requirements. He also advised on a Long-Term Negotiated Pricing Agreement with Eskom, helping the business manage energy costs in a volatile market. His team has handles a vast portfolio of commercial agreements, ensuring smooth supply chain operations, the protection of its mineral rights, while his work on multi-jurisdictional patent registrations has protected cutting-edge furnace technology.

He champions legal technology and automation to streamline processes, and his approach to risk management is refreshingly pragmatic: rather than saying “no”, he offers practical alternatives that build trust and enable progress.

Beyond the boardroom, Victor keeps a close eye on trends shaping the mining industry, such as ESG commitments, regulatory shifts, digital transformation, and infrastructure development. What are the most significant cases, projects and/or transactions that you and/or your legal team have recently been involved in?

Key issues relate to taking all available remedies to protect the organisation’s mineral rights portfolio. Some of the most significant cases and projects include objections and appeals against overlapping applications on mining right areas held by the organisation, legal proceedings pertaining to challenges against competing mining rights which have been granted, enforcement action to address unlawful mining activities by third parties and finalising outstanding land access and surface rights arrangements. These issues, which span across regulatory, legal and commercial realms, have a direct and material impact on our core business operations.

How do you approach managing legal aspects during periods of instability or crisis to ensure the organisation’s resilience?

Ensuring organisational resilience and sustainability involves embedding and integrating legal advice in the management of the crises and risk, which include the performance of rapid scenario planning, defining the legal risk appetite, maintaining tight control of all legal related aspects, including having a broad understanding of the applicable legal compliance universe in order to strengthen the legal compliance culture of the organisation.

How can General Counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?

In-house lawyers in South Africa’s mining industry can draw directly on the country’s ESG history to embed a culture of compliance and sustainability across all levels of the organisation. The evolution of the King Reports provides a clear framework for lawyers to translate into daily practice. By anchoring corporate policies, board charters, and compliance registers in these governance milestones, lawyers ensure ESG is not treated as a peripheral obligation but as part of the organisation’s strategic DNA. General Counsel, particularly those in the mining industry, can embed ESG into mining-specific compliance requirements under the MPRDA, NEMA, the Mine Health and Safety Act, and BBBEE codes, positioning ESG as essential to maintaining the licence to operate. Contracts become vehicles for ESG by including clauses on ethical sourcing, rehabilitation, and community development. In-house lawyers also play a pivotal role in stakeholder engagement, facilitating community consultations and ensuring transparent reporting to regulators and investors.

AI has been taken seriously as a potentially revolutionary technological change in the legal world for a number of years now. Has it had a meaningful impact in how your legal team works in this time?

AI has had a meaningful impact on how our legal team at Samancor operates. Our lawyers work with large volumes of data and legal documents. A critical tool in enhancing our turn-around times has been the use of AI to summarise documents and simplify complex legal concepts and issues. In addition, we use AI to streamline document creation through first-cut drafting so as to not reinvent the wheel. The adoption of AI in this manner has enabled the team to focus their time on legal analysis, judgement and strategic decision- making. When supervised properly, AI allows the team to minimise manual, routine and low-value work, and maximise time spent on the work that requires them to draw on their expertise and practical experience in order to shape and customise solutions for internal clients.
