How do you manage legal aspects during periods of instability or crisis, and how does your legal strategy align with the broader business strategy to ensure organisational resilience?

During periods of instability or crisis, the legal strategy must be agile, preventative, and closely aligned with business objectives. In my role, I focus on anticipating risk through constant regulatory monitoring and macroeconomic analysis, combined with scenario planning that supports sound decision-making under pressure.

Clear, ongoing communication with operational and commercial teams is essential to understanding evolving business needs and adapting the legal framework to deliver both compliant and practical solutions.

In high-impact situations—such as abrupt regulatory changes or reputational events—we activate internal protocols that enable a rapid, coordinated response consistent with the company’s values. This integration between the legal and business functions enhances organisational resilience by ensuring continuity, protecting key assets, and preserving compliance standards, even in adverse circumstances.

What are the main cases or transactions you have been involved in recently?

I have recently been involved in a broad range of legal matters reflecting the complexity of managing a legal function in a regulated and dynamic environment. These include individual and collective labour disputes, which require a balanced approach to legal interpretation and strategic risk mitigation.

I have also worked on civil and commercial proceedings such as debt recovery actions, contract negotiations, and conflict resolution with third parties. In the corporate sphere, I have contributed to the review and restructuring of legal entities, drafting of board and shareholder resolutions, and advising on governance best practices.

These cases require not only technical legal expertise but also a deep understanding of the commercial context in which the company operates—allowing us to deliver legal solutions that support long-term growth and operational stability. What measures has your company taken to incorporate sustainability practices into its core business operations, and how does the General Counsel contribute to driving and ensuring sustainable practices?

Sustainability has become a core pillar of our corporate strategy. From a legal standpoint, we support this evolution by ensuring that sustainability initiatives meet all regulatory requirements and by embedding environmental and social clauses into contracts with suppliers and strategic partners.

We also actively participate in cross-functional committees that evaluate ESG (Environmental, Social and Governance) risks and help define internal policies that reinforce the company’s sustainable development goals.

The General Counsel plays a critical role in translating sustainability commitments into practical, measurable, and auditable actions that not only mitigate legal risks but also create reputational and competitive value for the business.

How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?

Diversity and inclusion are integral to our organisational values. Within the legal department, we prioritise inclusive recruitment practices and ensure equal access to professional development opportunities.

We have introduced training programmes on unconscious bias and inclusive leadership and actively contribute to company-wide initiatives that promote gender equality and greater representation of under-represented groups.

We also foster open dialogue and create safe spaces where team members feel empowered to voice ideas and concerns. These efforts help to build a more equitable, collaborative, and high-performing legal team.

What role does the legal department play in promoting and ensuring corporate social responsibility in your organisation?

The legal department plays a strategic role in embedding corporate social responsibility (CSR) into the organisation’s operations. We ensure that CSR programmes are not only legally compliant but also aligned with ethical best practices.

We support the drafting and implementation of internal CSR policies and advise on the legal implications of partnerships with non-profit organisations, philanthropic activities, and community engagement initiatives.

By integrating CSR into the company’s legal and compliance framework, we help position the business as a responsible corporate citizen, enhancing both reputation and long-term sustainability.

What do you consider to be the main legal challenges for companies in Uruguay over the next five years, and how are you preparing to address them?

In the coming years, Uruguayan companies will face growing legal challenges around data protection, cybersecurity, and sustainability. As technology evolves and international standards tighten, businesses will need to continuously revise internal protocols, ensure cross-departmental coordination, and invest in regulatory compliance.

Our legal department is proactively conducting risk assessments, strengthening internal controls, and developing internal expertise to anticipate and respond to these shifts.

Adaptability and forward-looking planning will be crucial for navigating this rapidly changing regulatory environment, and we are committed to staying at the forefront of that transformation.
