What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?
In general, under these situations, I prioritise proactive risk management, scenario planning, and alignment with the executive team to ensure the legal strategy supports business continuity. I focus on contractual exposure, regulatory compliance, and protecting critical operations. Agility and clear communication frameworks are key to enabling rapid responses. Legal strategy is embedded in decision-making to safeguard the organisation while supporting strategic objectives. Whether facing geopolitical, financial, or operational disruptions, I ensure that legal solutions are pragmatic and forward-looking, reinforcing the company’s resilience and ability to adapt in evolving environments.
How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?
I recently led the legal work on a cross-border M&A transaction, overseeing due diligence, regulatory filings, and negotiations involving data privacy and intellectual property. I also negotiated a key commercial partnership agreement, securing favourable terms and risk allocation. In addition, I managed the legal restructuring of part of the company to support international growth and tax efficiency, coordinating across jurisdictions. I advised on a sensitive internal compliance investigation, helping the Board implement remedial actions. These engagements reflect my role in enabling strategic transactions, protecting the company, and ensuring compliance while contributing to broader business goals.
What role does the legal department play in promoting and ensuring corporate social responsibility in your organisation?
The legal team works closely with the Ethics Committee and Human Resources to promote best practices in corporate social responsibility, ensuring consistency across policies, procedures, and standards of conduct.
What do you see as the major legal challenges for businesses in Uruguay over the next five years, and how are you preparing to address them?
Businesses in Uruguay will face rapidly evolving regulation, including digital transformation, AI governance, and cross-border data flows, as well as cybersecurity threats and crypto/digital asset frameworks. Proper preparation and adaptability of legal teams will be essential.
