What are the most significant cases, projects or transactions that you and your legal team have recently been involved in?

Over the past year, our legal team has been involved in several complex and strategic matters across Latin America. One of the most significant was the financial reorganisation process initiated in 2023 and implemented throughout 2024. Following a major debt restructuring and the entry of new shareholders, we were tasked with ensuring legal continuity, aligning the new governance structure, and supporting the business through a period of major transition. This required rapid adaptation, close coordination with external counsel, and collaboration with the broader leadership team to ensure stability and clarity.

We also led the legal workstream for the full divestment of our Colombian platform, a 675 MW portfolio of solar and wind projects, which successfully closed in April 2025. This transaction was a key component of the company’s regional strategy to refocus resources in Chile and optimise capital allocation. Currently, we are supporting the sale of other projects and managing critical litigation related to construction disputes and environmental matters.

In parallel, we’ve taken a proactive role in regulatory affairs. In 2024, we helped create the Asociación de Generadores Renovables (AGR), a new group focused on promoting regulatory dialogue and representing the interests of renewable energy generators in Chile. This initiative has allowed us to participate more actively in policy discussions and strengthen collaboration across the sector.

How do you approach managing legal aspects during periods of instability or crisis to ensure the organisation’s resilience?

In moments of change or uncertainty, we aim to bring structure, clarity, and support to the business. Whether it’s navigating a reorganisation, managing complex disputes, or adapting to evolving market conditions, our role as in-house counsel is to help the company move forward with confidence and legal certainty.

Internally, we place great importance on staying close to our teams and business partners. Even when resources are limited, we try to maintain a collaborative mindset, communicate clearly, and stay aligned with the company’s priorities.

Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?

Over the last year, a relevant transaction was the sale of the Colombian platform, which involved five renewable energy projects—both solar and wind—totaling 675 MW. This cross-border M&A transaction required close coordination across teams and jurisdictions, as well as alignment with a highly experienced buyer.

From a legal perspective, it was not only about structuring and negotiating the deal but also about managing a smooth transition for the local team in Colombia. We worked to ensure continuity, clarity, and a positive outcome for all parties involved.
