What are the most significant cases, projects and/or transactions that you and/or your legal team have recently been involved in?
The most significant situations that have arisen recently and required the support of the legal department relate to the development of new business strategies, the implementation of new laws and regulations relating, for example, to labour matters, data protection and cybersecurity, and the proper management of the review process carried out by the regulator.
How do you approach managing legal aspects during periods of instability or crisis to ensure the organisation’s resilience?
Our role as legal counsel is to provide certainty during crisis periods, supporting the business by reviewing and anticipating different possible scenarios and how to approach them in the best way from a legal perspective. When needed, we also seek expert external advice to gain a broader view of the issue and ways to overcome difficulties. Providing viable alternatives from a legal point of view to achieve business goals while mitigating existing risks in the face of uncertainty seems to me the best way to deal with such situations.
Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?
The most interesting experience I have had so far was the opportunity to incorporate the company in Chile, shaping its corporate governance from the outset. Providing the lead legal support for the incorporation of the companies in Colombia and Mexico was also very rewarding.
What factors influence your team’s decision to use external legal services versus handling matters in-house, and what criteria are used to evaluate their performance?
We outsource some matters, such as lawsuits, because we are not staffed at levels sufficient to carry out episodically heavy demands on time and resources, as well as other matters that require the support of experts in specific fields. In evaluating firms, we consider the quality of their work, response times, reliability in meeting deadlines, level of knowledge of specific issues, clear communication, and fees.
