How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
In times of crisis, it is crucial to solidify a close relationship with the business. Legal departments are fundamental in these scenarios for adopting strategies that enable the business to overcome the crisis in a sustainable and successful manner. We, as legal teams, must actively participate in seeking joint solutions, preparing for various scenarios, highlighting risks, outlining how to mitigate them, and strengthening communication channels with the business. This approach fosters synergy among all teams – including the legal team – allowing the organisation to continue pursuing its objectives even during periods of instability and uncertainty. From a legal perspective, crises can also present opportunities to generate sustainable and more precise work plans, ultimately strengthening the overall business strategy.
How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
From my position, the approach I take during periods of instability or crisis is based on a
legal, proactive, and strategic management style, primarily aligned with the values and
principles that govern Financiera Independencia, S.A.B. de C.V., SOFOM, E.N.R., we are
committed to building a strong and sustainable organisational culture that values
adaptability, continuous learning, and experimentation, as these are the foundations of
how we work, interact, and make decisions. This allows us to create a collaborative,
innovative work environment focused on the satisfaction of both our customers and
employees.
The way I align my legal strategy within the scope of my functions with the commercial
strategy is based on specific actions, starting with establishing clear communication within
the team and with the commercial area, ensuring that everyone understands the priorities
and can work together to achieve them. I recognise the specialisation of the commercial
area and value its support. I promote the importance of asking questions in an
environment of trust and respect. I take individual responsibility to improve and help both
my own area and the commercial area, and lastly, I encourage feedback within both areas,
as it is the basis for the development of all employees.
Legal strategy in times of instability or crisis is an exercise in anticipation, flexibility, and
deep integration with the commercial strategy. We seek to transform legal challenges into
opportunities to strengthen the organisation’s position and ensure its long-term
continuity and growth.
What are the major cases or transactions you have been involved in recently?
One of the transactions I have recently participated in involves negotiations with various
banks for the granting of loans to the organsation, with the purpose of funding its client
portfolio and securing working capital through different vehicles. This is done to establish
a framework for fulfilling the obligations the organisation assumes as a result of these
loans.
What measures has your company taken to embed sustainability practices into its
core business operations, and how does the role of the general counsel contribute to
driving and ensuring sustainable practices within the company?
Currently, at Financiera Independencia, S.A.B. de C.V., SOFOM, E.N.R., we are in the
process of implementing a series of measures to integrate sustainability into our core
operations. As an issuer listed on the Bolsa Mexicana de Valores (Mexican Stock
Exchange), and due to recent changes in applicable legislation, we must align the
disclosure of sustainability-related information by adopting the applicable International
Sustainability Disclosure Standards, to include detailed information on how to address
sustainability-related opportunities and risks, aligning it’s corporate reporting process with
the expectations of national and international investors.
Undoubtedly, the involvement of the legal advisor is very important for preparing and
publishing the annual sustainability report on how we address opportunities and risks
related to sustainability.
