How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
I take a proactive and structured approach to risk management and strategic alignment. As General Counsel at GRUPO BAFAR SAB de CV, no challenge is impossible when addressed with preparation and continuous education. During periods of crisis, we focus on monitoring regulatory changes, understanding internal business dynamics, and evaluating socio-political factors that may affect the integrity of the company and its stakeholders. This work is complemented by going on individual and team training, enabling the legal team to anticipate risks, design practical response plans, and implement governance protocols that preserve assets and liquidity. Coordination with finance and operational teams ensures that legal strategy is fully aligned with broader business objectives, enhancing organisational resilience, and enabling informed decision-making.
What are the major cases or transactions you have been involved in recently?
Thanks to the sustained growth of GRUPO BAFAR SAB de CV, under the leadership of Raúl de la Paz Parga, the legal team has been able to focus a specialised area on the international business sector. This has allowed the team to manage a broad range of litigation and transactional matters arising from recent cross-border operations. In civil litigation, the team has concentrated on the recovery of overdue accounts, judicial collection, and defending the company’s interests in claims related to damages and enforcement of contracts. In tax litigation, it has provided defense against various administrative tax assessments, while in labour matters, it has implemented protocols to reduce contingencies and mitigate risks. On the transactional side, the team has managed corporate restructuring of U.S. business operations, conducted due diligence for multiple acquired companies including the structuring of various types of trusts such as FIBRAs and other corporate vehicles, and advised on cross-border projects involving Chapter 11 reorganisations in the U.S., including asset review, negotiation with creditors, and governance planning. This integrated approach has strengthened the company’s international legal practice, ensuring alignment with strategic objectives while proactively managing risks and supporting continued growth.

The legal team, under the leadership of Raul de la Paz Parga, has been a pioneer in adopting both in-house-developed and commercial technology solutions to improve efficiency and reduce risk. The team’s in-house platform, LexControl – Labor Litigation Management System, centralises case management and tracks judicial deadlines, alongside other AI tools. Combined with AI-driven workflows and automation of contracts and electronic signatures, these tools enable the legal team to respond efficiently to complex legal scenarios while ensuring alignment with BAFAR’s strategic goals.
