How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

During periods of instability or crises, managing legal aspects requires a proactive and adaptive approach. At Ambu A/S, our legal strategy is closely aligned with the broader business strategy to ensure organisational resilience. This involves continuous risk assessment and mitigation, ensuring compliance with evolving regulations, and maintaining transparent communication with stakeholders. By integrating legal considerations into strategic planning, we can anticipate potential challenges and develop contingency plans. This alignment helps us navigate crises effectively, safeguarding both our legal standing and business continuity.

What are the major cases or transactions you have been involved in recently?

During the past years I have been deeply involved in several pivotal initiatives that are part of our company’s comprehensive transformation program. One of the more significant undertakings has been facilitating a capital increase to support our strategic shift. Our legal team played a crucial role in this capital increase, ensuring that all regulatory requirements were meticulously met and that the process was executed smoothly. The capital infusion was instrumental in driving our transformation efforts, enabling us to invest and drive our long-term vision. Additionally, the legal team has been integral in navigating the complexities of this transformation, providing continuous support and guidance to ensure compliance with evolving legal standards. We have also been actively collaborating with various stakeholders to stay ahead of emerging trends and challenges.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

At Ambu A/S, we have taken comprehensive measures to embed sustainability practices into our core business operations. Our sustainability strategy is anchored in our commitment to the UN Global Compact and the Sustainable Development Goals (SDGs). We focus on sustainable innovation aiming to minimise our environmental footprint while promoting social responsibility. Our efforts include the adoption of a circular design approach, which helps us maximise performance and minimise waste. We are also investing in innovative materials like bioplastics and implementing take-back and recycling projects to tackle the end-of-life challenges of our products. Additionally, we are committed to reducing greenhouse gas emissions throughout our value chain, engaging our supply chain to reduce scope 3 emissions, and transitioning to renewable energy.

The legal function is pivotal in driving and ensuring these sustainable practices within the company by ensuring that the sustainability initiatives comply with all relevant legal standards. This also involves continuous risk assessment and mitigation and maintaining transparent communication with stakeholders.
