What are the most significant cases or transactions that your legal team has recently been involved in?
Our team has recently been involved in a wide range of strategic and operational matters, supporting the business and the Executive Committee across multiple areas, not only in Portugal but also in other jurisdictions where ATM – Manutenção Total operates, notably Spain and Latin America. This has included coordinating closely with business teams and local legal advisers across these regions.
Over the past year, a significant portion of our work has focused on commercial contracting, particularly the negotiation and management of key agreements with customers, suppliers, technology partners and other stakeholders. Among the most relevant projects and contracts—strictly confidential—we have supported the General Maintenance Contract in Portugal, including several major shutdown works at the Sines Refinery (Galp). We have also been involved in the Alba Project in Sines (Repsol), covering both the construction of a new plant and the maintenance of the existing facility, as well as the renewal of several maintenance agreements with VW Autoeuropa across areas such as automatic doors, storage, HVAC and industrial buildings.
In addition, the team has led negotiations for maintenance and services contracts with ANA for the Madeira, Porto Santo and Faro airports, and supported key tenders in the healthcare sector, including contracts with CUF Hospitals and Clinics, Hospital de Braga, SAMS and Hospital Garcia da Horta. In the energy and infrastructure sectors, we have been closely involved in tenders and contract negotiations with clients such as Finerge, Iberdrola (including in Spain and Mexico), and EDP (including in Spain), as well as with companies such as NOS, Santander and Novo Banco. We have also supported the negotiation and renewal of the maintenance contract with Benfica, covering the stadium, Seixal campus and official stores nationwide. In Spain, our work has included maintenance and works contracts with clients such as Petronor, Repsol, OHLA and Ferrovial.
Beyond commercial contracting, we have supported several strategic projects and transactions, including corporate restructurings, commercial partnerships and business expansion initiatives, often requiring cross-functional and cross-border coordination.
As part of a company employing approximately 1,300 people, employment law remains a core area of our day-to-day activity. Over the past year, the legal team has worked closely with HR and management on a wide range of employment matters, including workforce management, disciplinary and grievance procedures, collective employment issues, internal policies and the implementation of regulatory and organisational changes. We have also provided ongoing support in relation to labour litigation and employment risk management, always with a focus on ensuring compliance while delivering practical, business-oriented solutions.
In parallel, the team has been heavily engaged in regulatory and compliance matters, particularly in relation to data protection, corporate governance, licensing, ESG obligations and internal policy reviews. We have also advised on broader risk management issues, supported internal investigations where required, and worked closely with senior stakeholders to address regulatory developments affecting the business.
Another key area of focus has been dispute prevention and management, including the handling of pre-litigation matters, coordination with external counsel on sensitive disputes and the resolution of issues in a commercially pragmatic manner, minimising both legal and reputational risk.
More broadly, the legal team continues to play a central role as a strategic business partner, providing day-to-day support across operational, commercial and corporate matters in a fast-moving environment. This role has been formally recognised through my appointment as a member of the company’s Executive Committee.
What do you value most in external advisers working alongside your team: sector knowledge, responsiveness, innovation, or something else?
We value a combination of strong technical expertise, commercial awareness, and prompt responsiveness in external advisers. Sector knowledge is important, particularly in regulated or operationally complex areas, but what we value most is the ability to provide clear, pragmatic, and business-oriented advice.
Responsiveness and availability are also key, especially when dealing with fast-moving matters or issues with operational impact. We particularly appreciate advisers who understand our business, anticipate potential risks, and work collaboratively with the in-house team as trusted partners.
Innovation and efficiency are increasingly important as well, particularly in the use of technology, knowledge sharing, and project management, but ultimately we place the greatest value on practical judgement, reliability, and a solution-oriented approach.
How has the role of the legal function evolved within your organisation over recent years, and where do you see it adding the most strategic value today?
As a recently created legal department, one of the main evolutions has been establishing the legal function as a strategic business partner rather than a purely reactive support function. A significant part of our work has involved changing internal mindsets and encouraging teams to always involve Legal at an earlier stage of projects and decision-making processes.
This shift has helped demonstrate that early legal involvement not only reduces risk and improves compliance, but also creates value by supporting more efficient, informed, and commercially sustainable decisions. Today, the legal function adds the most strategic value through risk management, support on operational and employment matters, and by helping the business navigate an increasingly complex regulatory environment in a practical and business-oriented way
As the regulatory environment has become more complex and business operations more interconnected, the legal team has taken on a wider role in areas such as compliance, risk management, employment matters, corporate governance, and strategic projects. Working within a company of approximately 1,300 employees, the legal function also plays an important role in supporting HR and management on workforce-related matters and organisational change.
Today, the legal team adds the greatest strategic value by helping the business navigate risk while enabling growth and operational efficiency. This includes providing pragmatic and commercially focused advice, supporting complex negotiations and transformation projects, and ensuring that regulatory and governance considerations are embedded into business decisions from an early stage. Increasingly, the legal function is expected not only to protect the organisation, but also to contribute actively to sustainable and informed decision-making across the business.
