In Bolivia, businesses often operate in the context of political volatility, economic fluctuations, and regulatory uncertainty. My approach to managing legal aspects during such periods is highly proactive and strategically aligned with broader business objectives. I begin by identifying potential risks early, assessing their impact on both legal compliance and business operations. I then develop tailored legal strategies, contingency plans, and risk mitigation measures that ensure legal advice supports operational resilience and informed decision-making.

This includes providing guidance on corporate governance, cross-border transactions, contractual and regulatory risk management, and protective structures to safeguard both the company’s and clients’ interests. By integrating legal considerations with business objectives, I aim to enable informed decision-making, anticipate challenges, and maintain continuity and flexibility in complex, rapidly changing environments.

What are the main cases or transactions that you have been involved in recently?

Among the most significant transactions I have led is the acquisition of Alicorp’s crushing business in Bolivia. This regional, cross-border transaction, valued at approximately $173m, involved multiple jurisdictions — including Bolivia, Peru, and Uruguay — and was structured under New York law. I coordinated with local and international legal teams across all jurisdictions, overseeing due diligence, regulatory compliance, negotiation of complex agreements, and the successful transfer of assets. The transaction required aligning legal, operational, and strategic considerations across borders, ensuring a smooth, compliant, and integrated outcome.

In addition, I have advised on several corporate restructuring projects aimed at optimising governance, facilitating wealth management, and implementing effective asset protection strategies for high-net-worth clients and sophisticated investors. These projects often involve cross-border elements and customised legal structures, reinforcing my focus on providing practical, tailored solutions for complex investment and M&A transactions.

What do you see as the major legal challenges for businesses in Bolivia over the next five years, and how are you preparing to address them?

Looking ahead, businesses in Bolivia will face a dynamic legal and regulatory landscape, particularly in light of the recent presidential elections and the definitive second round in October. These developments may bring substantial changes to laws and frameworks across multiple sectors, with implications for corporate governance, cross-border transactions, M&A, and restructuring initiatives. Depending on the priorities of the next administration, industries such as banking, agribusiness, technology, and natural resources could also undergo major regulatory shifts, requiring companies to adjust quickly to new conditions.

Companies will need to manage evolving compliance requirements while advancing digital transformation and, over the medium term, preparing for the progressive integration of ESG standards. To meet these challenges, I focus on strengthening compliance programs, fostering transparent governance, and staying ahead of emerging legal and regulatory developments. I also advise on strategic corporate restructurings, international investment frameworks, and wealth protection strategies – ensuring that legal guidance remains closely aligned with business objectives and helps mitigate risk in a shifting political and economic environment.
