What are the most significant cases or transactions that your legal team has recently been involved in?

More recently, I have participated in multiple corporate transactions. In 2020, I played a part in the completion of a tender offer of outstanding warrants, as well as in the acquisition of, from Arcadia Biosciences, of the remaining ownership interest in Verdeca, a joint venture formed by the two companies in 2012, to develop second generation biotechnologies for soybean and to globally commercialise HB4 soy technology.

In 2021, I was participated in the transfer of stock listing, from NYSE to Nasdaq, in addition to the issuance of US$20m public offering of series VII corporate bonds in the Argentinian market of Rizobacter Argentina. Lastly, in 2022, I was involved in the M&A transaction of Bioceres and Marrone Bio, at a value of approximately US$236m.

In terms of compliance, we have implemented a programme, and have been working in the development, implementation and oversight of related company-wide policies and training protocols for compliance with laws and regulations of Argentina, the US, and other applicable jurisdictions. I have also managed contracts and licensing for multiple projects, providing legal assessment for corporate management and production activities, particularly of HB4, an identity preserved production system for growing drought-tolerant soy and wheat with online monitoring and blockchain agreements, for more than 500 growers in Argentina and Brazil.

Do you use any “legal tech” products and do you find them a helpful management device?

Yes — we use Patsnap to monitor the company IP, Insight Software for the company’s incentive plans, as well as Nasdaqnet for company public reports. They are key instruments that guarantee transparent records and reliable reports.

How much influence do you, as a general counsel, have on the diversity and inclusions policies of your organisation?

Bioceres has a diversity and integration committee of which I am a member. The aim of the committee is to review the current situation of the company and promote the integration of different people and cultures in the company. So far, the wage gap between men and women has been eliminated and people with different abilities have joined the company. We are currently working on maternity leave, to exceed the benefits stated by law, and on a project referring to a company’s childcare centre.
