Over the past year, the legal team has been at the forefront of driving the Group’s expansion through several engagements. The team has played a pivotal role in the Group’s aggressive growth strategy, most notably leading the legal workstreams for the acquisition of a major healthcare facility. This involved navigating and negotiating Share Sale and Purchase Agreements, preparing management contracts and managing intricate equity allotment frameworks to facilitate the entry of new investment partners.

What role does corporate counsel play in strengthening corporate governance in light of Nigeria’s recent reforms and stakeholder expectations?

The role of corporate counsel has transitioned from a traditional advisory function to that of a strategic partner for corporate governance. At the Group level, I lead the team translating these reforms into operational realities that meet the transparency expectations of both local and international stakeholders. By moving beyond basic compliance, we ensure total regulatory compliance across our diverse healthcare and technology subsidiaries, thereby bridging the gap between statutory requirements and the practical demands of a fast-scaling business.

How is your legal department leveraging technology to improve compliance monitoring, contract management, or governance reporting?

Our team leverages technology as an integral part of our daily operations. We have implemented specialised board portal software to streamline governance reporting and board communication across our subsidiaries. This transition to an electronic process allows for the secure and timely distribution of notices and board papers, ensuring directors have immediate access to critical information.Beyond governance, we are leveraging technology to centralise our regulatory compliance and contract management frameworks. These allow the legal team to move away from manual tracking and focus on strategic advisory.
