What are the key projects that you have been involved in over the past twelve months?
The legal team focused on two contract closures involving the construction of gas distribution
systems and a regasification plant in Arequipa and Cusco, respectively. These contracts were of
great importance to us due to the various challenges that arose during the execution of the project
(municipal authorisations, permits, negotiations with the community, review of payment
structures, etc.). In addition, working in provinces represented a greater challenge in terms of
finding suppliers, contractors, and workers, which involved the drafting of specialised contracts.
On the other hand, last year our company initiated various projects with the government,
especially in the electricity sector, both in the north and south of the country. These new projects
are generating specialisation in the legal area in the electricity sector and in government
contracting.
Are there any particular challenges for which in-house counsel should be preparing in
2026?
The biggest challenge for in-house counsel is definitely working responsibly with artificial
intelligence. From my point of view, it’s not just about letting some LegalTech tool do the work for
us, the lawyers. On the contrary, the most responsible thing to do is to use it as a support tool
that helps us systematise processes, save time, and be more efficient in the tasks assigned to
us.
Likewise, implementing the tools properly helps us be better lawyers for our company. Having
software for reviewing contracts, tracking legal proceedings, or legal research would lead to a
more dynamic lawyer-internal client relationship (purchasing, logistics, operations, among other
areas). In this way, legal assistance in the company will be faster, more efficient, more accurate,
and more personal, characteristics that the operational areas of a company require.
What do you think are the most important attributes for a modern in-house counsel to possess?
The main attribute of a modern in-house counsel is to be strategic and proactive, and not just
reactive and responding when problems have already occurred. Nowadays, lawyers are a
fundamental part of a company, not only to solve problems but also to prevent them. Being
involved in the planning of a new project helps to contribute our experience and knowledge, so
that the risks that may be taken (which are often necessary in business) can be measured and
do not generate negative exposure for the company.
Similarly, an in-house counsel must inspire confidence in others. In addition to having up-to-date
legal knowledge, a lawyer must present an image of confidence so that operational areas can
keep them informed of projects, their execution, or any potential issues. This will enable the lawyer
to recommend action or avoid a significant contingency.
