What are the key projects that you have been involved in over the past 12 months?

I was involved in an M&A project for one of our affiliates, with a transaction value of approximately SAR 250m. After a year and a half of work, the transaction was successfully completed.

How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

In times of instability, the key is balancing proactive risk mitigation with agile decision-making. I ensure legal is embedded early in crisis management processes, collaborating closely with cross-functional teams. We assess contractual obligations, regulatory exposure, and operational risks in real-time. My legal strategy aligns with the business by ensuring continuity, protecting the company’s reputation, and enabling swift yet compliant responses. Legal must not be a blocker; we must be enablers of resilience.

What do you think are the most important attributes for a modern in-house counsel to possess?

Today’s in-house counsel must be more than legal advisors; we are strategic partners. Key attributes include business acumen (understanding commercial drivers), agility (adapting to fast-paced change), communication (translating complex legal language into actionable advice), technology fluency (embracing legal tech to drive efficiency), and emotional intelligence (navigating internal and external stakeholders effectively).

How can general counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?

General Counsel plays a critical role in embedding ESG into the company’s DNA. I advocate for clear policies and codes of conduct aligned with ESG goals, training programs that link ESG compliance with day-to-day operations, board-level engagement, ensuring that ESG is regularly reported and integrated into governance and collaborating with sustainability, HR, and risk teams to create a unified ESG vision.

Based on your experiences in the past year, are there any trends in the legal or business world that you are keeping an eye on, of which you think other in-house lawyers should be mindful?

Yes, several trends stand out, like AI and automation in legal ops and how legal teams must embrace these tools or risk falling behind; the regulatory changes in data privacy and ESG reporting with laws are evolving rapidly, especially in the Middle East and Europe; the geopolitical risk and supply chain disruptions, with legal needs to stay alert to risks that impact contracts and international operations; and cybersecurity, an increasingly legal issue, not just an IT one.
