How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

Crisis management must begin during periods of stability. Legal teams need to invest time and effort in understanding their businesses, assessing risks and mapping out priorities. This foundation enables clear action plans and facilitates decision-making when a crisis arises. Accurate and agile decision-making is essential to successfully navigate a crisis scenario. Legal teams need to be ready to adequate support management on such challenges.

What are the major cases or transactions you have been involved in recently?

A Tender Offer issuance by Fibra Prologis for the acquisition of Fibra Terrafina; the El Puente Industrial Park acquisition; and a $180m,1,515,724sf, 8 building industrial Park in the State of Mexico.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

At Prologis, sustainability is woven into our core operations. In 2024, we advanced our environmental initiatives by installing 18 MW of onsite solar capacity across 32 buildings, with a goal of 30 MW by 2025, and by equipping approximately 87% of our operating portfolio with LED lighting. Projects such as PP Toluca 3 demonstrate how sustainable construction can create value: we reused excavated stone, incorporated rainwater into construction activities, deployed geocell technology to avoid thousands of cubic meters of raw material, donated topsoil to the local municipality, and invested in irrigation and accessibility infrastructure — together avoiding over 13,000 tons of CO₂e emissions.

Our community programs also expanded. Through the Community Workforce Initiative, in collaboration with the FORGE Foundation, we trained 435 people for careers in logistics, keeping us on track toward our 2025 goal of 700. Our PARKlife™ program enhanced quality of life by installing free libraries at 25 locations and adding recreational areas and community sports activities in Mexico City. In 2024 alone, employees contributed over 750 volunteer hours, and Ps$2m was donated to social causes.

Our governance approach is equally central. A materiality assessment in 2024 reaffirmed priorities such as climate change, renewable energy, stakeholder engagement, and governance, all under the oversight of our Technical Committee and Global ESG Steering Committee. Legal and regulatory environment management was highlighted as a material ESG issue.

In this framework, the General Counsel plays a critical role: ensuring ESG commitments comply with law, overseeing ESG disclosures, embedding sustainability into contracts and corporate governance, and serving on the ethics committee to uphold accountability. By aligning sustainability with governance and risk management, the General Counsel helps make ESG both a business objective and a responsibility fully integrated into decision-making.
