How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

Our priority is to create a close and constant engagement with between legal, risk and business departments to align our continuity objectives. We combine in-house coordination with specialised external expertise to ensure and anticipate sophisticated responses to regulatory and legal challenges. Our strategy is proactive, identifying regulatory trends, anticipating risks, and embedding resilience into our corporate structure.

What are the major cases or transactions you have been involved in recently?

Recently, we had led the legal plan for a transformative corporate restructure designed to materialise the digital strategy of our financial group. This highly complex process required close engagement with regulators, ensuring that local regulatory concerns were fully addressed.

In parallel, leading the design and execution of a comprehensive compliance and governance plan in response to the U.S. decree designating Mexican cartels as Foreign Terrorist Organisations and the subsequent FinCEN orders. This involved strengthening our policies, manuals and fiduciary controls, training sessions, protocols, enhancing monitoring frameworks, and coordinating with both external advisors and regulators to safeguard the institution against any risk and reputational exposure.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

Sustainability is fully integrated into our business strategy through responsible lending policies, ESG, and enhanced disclosure standards. As the person in charge of corporate governance, I ensure that our corporate governance is aligned with international best governance practices and sustainability principles.
