Corporate legal manager | Conjunto Clinico Nacional Conclina
Team size: Five lawyers, One paralegal, One administrative assistant.
What are the most significant cases, projects and/or transactions that you and/or
your legal team have recently been involved in?
Over the past twelve months, I have led and participated in several major projects across the companies of the Conclina holding group. One of the most transformative initiatives has been the consolidation of legal services throughout the group. I designed and implemented an internal legal structure that assigns a dedicated in-house lawyer to each operating company, allowing for more efficient management of day-to-day legal matters while enabling me, as group general counsel, to focus on complex, high-impact, and strategic issues. This restructuring has strengthened legal risk management, improved responsiveness to business needs, and provided a deeper understanding of each company’s specific operational and regulatory challenges.
In parallel, I have played a central legal role in the holding’s investment vehicle for the development and future operation of Hospital Metropolitano San Patricio, a new tertiary care hospital serving the Cumbayá and Puembo communities in Quito. This project represents an investment of approximately USD 90 million, financed through Conclina’s capital contributions and a credit facility granted by the International Finance Corporation. My work has included structuring the investment vehicle, negotiating financing arrangements, overseeing key contracts, and advising on regulatory and governance matters. The hospital is scheduled to begin operations in January 2027 and will significantly expand access to high-quality healthcare in the region.
How do you approach managing legal aspects during periods of instability or crisis
to ensure the organisation’s resilience?
Operating in Ecuador, where political and regulatory volatility is a constant reality, I approach legal risk management with a proactive, business-focused mindset centred on resilience and continuity. My priority is to maintain constant awareness of regulatory developments and policy trends, enabling the early identification of legal risks, compliance gaps, and strategic opportunities. This approach allows the organisation to anticipate change rather than merely react to it, safeguarding operational stability during periods of uncertainty.
In the healthcare sector, where regulatory frameworks evolve rapidly and secondary legislation can materially affect operations, I place strong emphasis on early engagement with regulators and industry stakeholders. By participating in discussions around emerging regulations and closely monitoring forthcoming legal reforms, I ensure that the Holding remains not only compliant with current requirements but also strategically positioned to adapt swiftly to future legal and policy shifts.
Have you had any experiences during your career as a lawyer that stand out as
particularly unique or interesting?
One experience that has distinctly shaped my approach as an in-house lawyer is my nearly ten years at Pérez Bustamante & Ponce, Ecuador’s leading law firm. During that period, I advised a wide range of companies across multiple industries as external counsel, gaining extensive exposure to complex transactions, regulatory matters, and high-stakes disputes. This provided me with a rigorous legal foundation and a clear understanding of how top-tier legal advice underpins effective business decision-making.
Transitioning from private practice to my current role as group general counsel of a healthcare holding allowed me to apply that external advisory experience from within the business. Having worked on both sides of the table, I am able to anticipate the expectations, priorities, and pressures of external counsel while translating legal analysis into practical, business-oriented solutions. This dual perspective enables me to deliver advice that is both technically robust and commercially realistic, fully aligned with the strategic objectives of the organisation.
I believe this combination of elite private practice training and in-house leadership experience is what makes my professional journey distinctive and particularly rewarding, especially within a highly regulated healthcare environment.
